Nevertheless, the person who has taken over a debt to the bankrupt or a claim against the bankrupt from a third party prior to the declaration of bankruptcy is not entitled to set-off if he did not act in good faith at the time of the takeover.
Claims or debts acquired after the declaration of bankruptcy cannot be set off.
The person who effects a set-off is in good faith as referred to in paragraph 1 if this set-off:
takes place after the debtor has deposited a declaration at the registry of the court as referred to in Article 370, paragraph 3, or a restructuring expert has been appointed by the court in accordance with Article 371, and
is performed in the context of the financing of the continuation of the enterprise conducted by the debtor and does not serve to restrict that financing.
Niettemin is degene die een schuld aan de gefailleerde of een vordering op de gefailleerde vóór de faillietverklaring van een derde heeft overgenomen, niet bevoegd tot verrekening, indien hij bij de overneming niet te goeder trouw heeft gehandeld.
Na de faillietverklaring overgenomen vorderingen of schulden kunnen niet worden verrekend.
Degene die een verrekening verricht, is te goeder trouw als bedoeld in het eerste lid als deze verrekening:
geschiedt nadat de schuldenaar ter griffie van de rechtbank een verklaring heeft gedeponeerd als bedoeld in artikel 370, derde lid, of er overeenkomstig artikel 371 door de rechtbank een herstructureringsdeskundige is aangewezen, en
wordt verricht in het kader van de financiering van de voortzetting van de door de schuldenaar gedreven onderneming en niet strekt tot inperking van die financiering.
