1.

As domestic taxpayers, the following entities established in the Netherlands are subject to tax:

a.

public limited companies and private limited companies;

b.

cooperatives and associations on a cooperative basis;

c.

mutual guarantee companies and associations acting as an insurer or bank on a mutual basis;

d.

associations and foundations that have been admitted by Royal Decree pursuant to the Housing Act (Woningwet) as institutions operating in the interest of public housing;

e.

associations and foundations not mentioned herein, as well as religious denominations and their independent constituent parts and bodies in which they are united;

f.

funds for joint account;

g.

Dutch legal entities under public law, other than the State, that are not already subject to tax pursuant to points (a), (b), (c), (d) or (e);

h.

bodies established or entered into under the law of another state, the legal form of which is neither comparable to that of a body as referred to in points (a), (b), (c), (e), (f) or (g), nor to that of a partnership (maatschap), general partnership (vennootschap onder firma), limited partnership (commanditaire vennootschap) or transparent fund as referred to in Article 2.14bis, seventh paragraph, of the Income Tax Act 2001.

Enterprises operated by the State are also subject to tax as domestic taxpayers. For the purposes of this Act, all enterprises operated by the State that belong to the same ministry established by Royal Decree as referred to in Article 44 of the Constitution shall be deemed to collectively form one single enterprise operated by the State.

Reverse hybrid entities are also subject to tax as domestic taxpayers.

For the application of this Act and the provisions based thereon, a fund for joint account (fonds voor gemene rekening) shall be understood to mean: a fund for the purpose of obtaining benefits for the participants by investing or otherwise employing monies for joint account, provided that this fund is designated as an investment fund or a collective investment undertaking in securities as referred to in Article 1:1 of the Financial Supervision Act (Wet op het financieel toezicht) and the participation in this fund is evidenced by tradable participation certificates. A fund for joint account shall be designated as an enterprise. Participation certificates shall not be considered tradable if alienation can only take place to the fund for joint account.

If the incorporation of an entity has taken place under Netherlands law, then for the application of this Act, with the exception of Articles 13 up to and including 13d, 13i up to and including 13k, 14a, 14b, 15 and 15a, the entity shall at all times be deemed to be established in the Netherlands. In the case of an entity that, without the application of the first sentence, would not be a domestic taxpayer, the benefit derived from a substantial interest as referred to in Article 17, paragraph 3, point (b), shall, by way of derogation from Chapter II, be determined in accordance with Chapter III. A European public limited liability company (Europese naamloze vennootschap) that was governed by Netherlands law upon its incorporation shall, for the application of the first sentence, be deemed to have been incorporated under Netherlands law.

The bodies referred to in the first paragraph, points a, b, c, d and h, and the third paragraph, with the exception of segregated private assets to which Article 2.14a of the Income Tax Act 2001 applies, shall be deemed to conduct their business using their entire assets.

For the application of this Act, the existence of a public limited company (naamloze vennootschap) or a private limited company (besloten vennootschap met beperkte aansprakelijkheid) shall always be assumed as soon as and for as long as an enterprise is registered in the Commercial Register as belonging to a public limited company or a private limited company.

The bodies referred to in the first paragraph, points (e) and (g), as well as bodies that are designated as a separated private capital (afgezonderd particulier vermogen) as referred to in Article 2.14a of the Income Tax Act 2001, are subject to tax only insofar as they carry on an enterprise. For the application of this Act and the provisions based thereon, all enterprises carried on by a body as referred to in the first sentence shall be deemed to form one single enterprise together.

For the application of this Act, bodies established in the BES islands which, through the application of Article 5.2 of the BES Tax Act (Belastingwet BES), are deemed not to be established in the BES islands, shall be deemed to be established in the Netherlands.

10.

Upon written petition and subject to conditions to be stipulated by Our Minister, the inspector shall permit a body as referred to in the first paragraph, point (e), to be deemed to conduct its business using its entire assets, provided that the body has been designated as a cultural institution. The petition must be submitted to the inspector no later than six months after the end of the year to which the petition first relates. The inspector shall decide on the petition by way of an appealable decision in which the conditions to be stipulated by Our Minister are included. Upon granting of the petition, this shall apply until revoked by the body, whereby revocation is only possible with effect from the tenth year or a multiple thereof following the end of the year for which the petition was first granted.

An "omgekeerd hybride lichaam" (reverse hybrid entity) is understood to mean a partnership formed under Dutch law or established in the Netherlands if at least 50% of the voting rights, capital interests, or profit rights in that partnership are held, directly or indirectly, by one or more entities affiliated with that partnership as referred to in Article 12ac, paragraph 2, which are established in a state that regards that partnership as a taxpayer subject to a tax levied on profits, and the profit of that partnership is, for Dutch tax purposes, attributable to the holders of the voting rights, capital interests, or profit rights, respectively, in that partnership, without the application of this provision.

12.

For the purposes of the eleventh paragraph, a reverse hybrid entity as referred to in that paragraph shall not be understood to mean a partnership as referred to in that paragraph that invests in securities and maintains a diversified portfolio and that qualifies as:

a.

an undertaking for collective investment in transferable securities as referred to in Article 4, paragraph 4, of the General State Taxes Act (Algemene wet inzake rijksbelastingen); or

b.

an alternative investment fund as referred to in Article 4, paragraph 5, of the General State Taxes Act.

Als binnenlandse belastingplichtigen zijn aan de belasting onderworpen de in Nederland gevestigde:

a.

naamloze vennootschappen en besloten vennootschappen met beperkte aansprakelijkheid;

b.

coöperaties en verenigingen op coöperatieve grondslag;

c.

onderlinge waarborgmaatschappijen en verenigingen welke op onderlinge grondslag als verzekeraar of bank optreden;

d.

verenigingen en stichtingen die op de voet van de Woningwet bij koninklijk besluit zijn toegelaten als instellingen die in het belang van de volkshuisvesting werkzaam zijn;

e.

hiervoor niet genoemde verenigingen en stichtingen alsmede kerkgenootschappen en hun zelfstandige onderdelen en lichamen waarin zij zijn verenigd;

f.

fondsen voor gemene rekening;

g.

Nederlandse publiekrechtelijke rechtspersonen, niet zijnde de Staat, die niet al op grond van de onderdelen a, b, c, d of e belastingplichtig zijn;

h.

naar het recht van een andere staat opgerichte of aangegane lichamen, waarvan de rechtsvorm niet vergelijkbaar is met die van een lichaam als bedoeld in de onderdelen a, b, c, e, f of g, noch met die van een maatschap, vennootschap onder firma, commanditaire vennootschap of transparant fonds als bedoeld in artikel 2.14bis, zevende lid, van de Wet inkomstenbelasting 2001.

Als binnenlandse belastingplichtigen zijn mede aan de belasting onderworpen de ondernemingen gedreven door de Staat. Voor de toepassing van deze wet worden alle ondernemingen gedreven door de Staat die behoren tot eenzelfde bij koninklijk besluit ingesteld ministerie als bedoeld in artikel 44 van de Grondwet, geacht tezamen één onderneming gedreven door de Staat te vormen.

Als binnenlandse belastingplichtigen zijn mede aan de belasting onderworpen omgekeerde hybride lichamen.

Voor de toepassing van deze wet en de daarop berustende bepalingen wordt onder een fonds voor gemene rekening verstaan: een fonds ter verkrijging van voordelen voor de deelgerechtigden door het voor gemene rekening beleggen of anderszins aanwenden van gelden, mits dit fonds wordt aangemerkt als een beleggingsfonds of fonds voor collectieve belegging in effecten als bedoeld in artikel 1:1 van de Wet op het financieel toezicht en de deelgerechtigdheid in dit fonds blijkt uit verhandelbare bewijzen van deelgerechtigdheid. Een fonds voor gemene rekening wordt als onderneming aangemerkt. De bewijzen van deelgerechtigdheid worden niet als verhandelbaar aangemerkt indien vervreemding uitsluitend kan plaatsvinden aan het fonds voor gemene rekening.

Heeft de oprichting van een lichaam plaatsgevonden naar Nederlands recht, dan wordt voor de toepassing van deze wet, met uitzondering van de artikelen 13 tot en met 13d, 13i tot en met 13k, 14a, 14b, 15 en 15a, het lichaam steeds geacht in Nederland te zijn gevestigd. Bij een lichaam dat zonder toepassing van de eerste volzin niet een binnenlandse belastingplichtige zou zijn, wordt, in afwijking van hoofdstuk II, het voordeel uit hoofde van een aanmerkelijk belang als bedoeld in artikel 17, derde lid, onderdeel b, bepaald op de voet van hoofdstuk III. Een Europese naamloze vennootschap die bij haar oprichting werd beheerst door Nederlands recht, wordt voor de toepassing van de eerste volzin geacht te zijn opgericht naar Nederlands recht.

De lichamen, bedoeld in het eerste lid, onderdelen a, b, c, d en h, en het derde lid, met uitzondering van afgezonderde particuliere vermogens waarop artikel 2.14a van de Wet inkomstenbelasting 2001 van toepassing is, worden geacht hun onderneming te drijven met behulp van hun gehele vermogen.

Voor de toepassing van deze wet wordt het bestaan van een naamloze vennootschap of besloten vennootschap met beperkte aansprakelijkheid steeds aangenomen, zodra en zolang een onderneming als behorende aan een naamloze vennootschap of besloten vennootschap met beperkte aansprakelijkheid in het handelsregister staat ingeschreven.

De lichamen, bedoeld in het eerste lid, onderdelen e en g, alsmede lichamen die worden aangemerkt als een afgezonderd particulier vermogen als bedoeld in artikel 2.14a van de Wet inkomstenbelasting 2001 zijn slechts aan de belasting onderworpen voor zover zij een onderneming drijven. Voor de toepassing van deze wet en de daarop berustende bepalingen worden alle ondernemingen die worden gedreven door een lichaam als bedoeld in de eerste zin geacht tezamen één onderneming te vormen.

Voor de toepassing van deze wet worden op de BES eilanden gevestigde lichamen die door de toepassing van artikel 5.2 van de Belastingwet BES geacht worden niet op de BES eilanden te zijn gevestigd, geacht in Nederland te zijn gevestigd.

10.

Op schriftelijk verzoek en onder door Onze Minister te stellen voorwaarden staat de inspecteur toe dat een lichaam als bedoeld in het eerste lid, onderdeel e, geacht wordt zijn onderneming te drijven met behulp van zijn gehele vermogen, indien het lichaam als culturele instelling is aangemerkt. Het verzoek moet uiterlijk binnen zes maanden na afloop van het jaar waarop het verzoek voor het eerst betrekking heeft, worden ingediend bij de inspecteur. De inspecteur beslist op het verzoek bij voor bezwaar vatbare beschikking waarin de door Onze Minister te stellen voorwaarden zijn opgenomen. Bij inwilliging van het verzoek geldt dit tot wederopzegging door het lichaam, waarbij wederopzegging alleen mogelijk is met ingang van het tiende jaar of een veelvoud daarvan na het einde van het jaar waarvoor het verzoek voor het eerst is ingewilligd.

11.

Onder een omgekeerd hybride lichaam wordt verstaan een naar Nederlands recht aangegaan of in Nederland gevestigd samenwerkingsverband indien ten minste 50% van de stemrechten, kapitaalbelangen of winstrechten in dat samenwerkingsverband direct of indirect worden gehouden door een of meer aan dat samenwerkingsverband gelieerde lichamen als bedoeld in artikel 12ac, tweede lid, die zijn gevestigd in een staat die dat samenwerkingsverband als een belastingplichtige voor een naar de winst geheven belasting beschouwt en de winst van dat samenwerkingsverband voor Nederlandse belastingdoeleinden zonder toepassing van deze bepaling toerekenbaar is aan de houders van de stemrechten, kapitaalbelangen, onderscheidenlijk winstrechten, in dat samenwerkingsverband.

12.

Onder een omgekeerd hybride lichaam als bedoeld in het elfde lid wordt niet verstaan een in dat lid bedoeld samenwerkingsverband dat belegt in effecten en een gediversifieerde portefeuille aanhoudt en dat kwalificeert als:

a.

een instelling voor collectieve belegging in effecten als bedoeld in artikel 4, vierde lid, van de Algemene wet inzake rijksbelastingen; of

b.

een alternatieve beleggingsinstelling als bedoeld in artikel 4, vijfde lid, van de Algemene wet inzake rijksbelastingen.
