Following the establishment of the special negotiating body, the central management shall convene a meeting with it for the purpose of negotiating an agreement as referred to in Article 8, paragraph 1. It shall provide the body with the opportunity to meet before and after this meeting.
As long as an agreement as referred to in Article 8, paragraph 1, has not been concluded, the special negotiating body may decide not to enter into negotiations or to terminate negotiations already in progress.
If the central management and the special negotiating body agree to establish a European Works Council, the rules of procedure of the council shall also be determined by agreement. Unless the central management and the special negotiating body agree otherwise, the rules of procedure shall at least regulate the following matters:
for which establishments or undertakings of the Community-scale undertaking or group the European Works Council has been established;
the size and composition of the council, whereby employees are represented as balanced as possible, and the term of office of its members;
the scope of activities and the powers of the council;
the manner in which the council is informed and consulted;
the manner in which the provision of information to and consultation of the council and the provision of information to and consultation of the employees' representatives, as referred to in Article 3, paragraph 2, are linked to one another, taking into account their respective powers;
the frequency, duration and location of the meetings of the board;
the financial and material resources at the disposal of the council;
if a limited committee is established within the council: its composition, the appointment procedure, the description of its duties, and its regulations.
If the central management and the special negotiating body agree on a procedure for the information and consultation of employees or their representatives other than the establishment of a European Works Council, the agreement shall also specify the manner in which this is to be implemented. In doing so, provision shall be made for at least the following:
for which establishments or undertakings of the Community-scale undertaking or group the procedure applies;
how employees or their representatives are informed and consulted regarding cross-border matters that have significant consequences for the employees;
the manner in which the employees or their representatives may meet regarding the matters referred to in point (b);
the financial and material resources made available for the execution of the proceedings.
The central management and the special negotiating body may agree that separate European Works Councils shall be established for parts of the Community-scale undertaking or group, or that separate procedures shall apply. They may likewise agree that one or more European Works Councils shall be established for one or more parts of the Community-scale undertaking or group, and that one or more procedures shall apply to other parts.
The agreement between the central management and the special negotiating body shall contain provisions regarding the date of entry into force, the duration of the agreement, the manner in which the agreement may be amended or terminated, the cases in which and the manner in which negotiations for a new agreement are conducted, and the manner in which the agreement is adapted to changes in the structure or size of the Community-scale undertaking or group and in the numbers of employees employed in the Member States concerned. If these provisions do not provide that employees or their representatives from undertakings or establishments that have become part of the Community-scale undertaking or group after the conclusion of the agreement are to be involved in the renewal or adaptation thereof within two years, or are not represented within two years in the European Works Council or in the other procedure for information and consultation, the central management is obliged to establish a newly composed special negotiating body if at least 100 such employees or their representatives so request.
The central management is not required to provide information insofar as this would reasonably seriously impede or harm the functioning of the Community-scale undertaking or the group. The central management may impose confidentiality regarding the provision of information if there is a reasonable ground for doing so; as far as possible, before the matter concerned is dealt with, it shall be communicated what ground exists for imposing the confidentiality, which information provided in writing or orally is subject to the confidentiality, how long it is to last, as well as whether there are persons in respect of whom the confidentiality need not be observed.
If the agreement does not contain any rules as referred to in paragraph 3, point (e), then, in the event that decisions are contemplated which are likely to entail significant changes in the work organisation or the employment contracts, the provision of information to and consultation with the works council and the provision of information to and consultation with the employees' representatives, as referred to in Article 3, paragraph 2, shall commence as simultaneously as possible.
The executive board is responsible for compliance with the rights and obligations set forth in the agreement.
Na de oprichting van de bijzondere onderhandelingsgroep belegt het hoofdbestuur met deze een vergadering teneinde te onderhandelen over een overeenkomst als bedoeld in artikel 8, eerste lid. Het stelt de groep in de gelegenheid om bijeen te komen voor en na deze vergadering.
Zolang een overeenkomst als bedoeld in artikel 8, eerste lid, niet tot stand is gekomen, kan de bijzondere onderhandelingsgroep besluiten om geen onderhandelingen aan te gaan, dan wel reeds lopende onderhandelingen af te breken.
Indien het hoofdbestuur en de bijzondere onderhandelingsgroep overeenkomen een Europese ondernemingsraad in te stellen, dan wordt bij overeenkomst tevens het reglement van de raad vastgesteld. Tenzij het hoofdbestuur en de bijzondere onderhandelingsgroep anders overeenkomen, regelt het reglement tenminste de volgende aangelegenheden:
voor welke vestigingen of ondernemingen van de communautaire onderneming of groep de Europese ondernemingsraad is ingesteld;
de omvang en samenstelling van de raad, waarbij werknemers zoveel mogelijk evenwichtig vertegenwoordigd worden, en de zittingsduur van zijn leden;
het werkterrein en de bevoegdheden van de raad;
de wijze waarop de raad wordt ingelicht en geraadpleegd;
de wijze waarop de informatieverstrekking en raadpleging van de raad en de informatieverstrekking en raadpleging van de vertegenwoordigers van werknemers, bedoeld in artikel 3, tweede lid, aan elkaar worden gekoppeld, rekening houdend met hun bevoegdheden;
de frequentie, duur en plaats van de vergaderingen van de raad;
de financiële en materiële middelen waarover de raad kan beschikken;
indien binnen de raad een beperkt comité wordt ingesteld: de samenstelling, de aanwijzingsprocedure, de taakomschrijving en het reglement daarvan.
Indien het hoofdbestuur en de bijzondere onderhandelingsgroep een andere procedure van informatieverstrekking en raadpleging van werknemers of hun vertegenwoordigers dan de instelling van een Europese ondernemingsraad overeenkomen, wordt bij overeenkomst tevens vastgelegd op welke wijze dit zal gebeuren. Daarbij wordt tenminste voorzien in het navolgende:
voor welke vestigingen of ondernemingen van de communautaire onderneming of groep de procedure geldt;
hoe de werknemers of hun vertegenwoordigers worden ingelicht en geraadpleegd over grensoverschrijdende aangelegenheden die belangrijke gevolgen voor de werknemers hebben;
de wijze waarop de werknemers of hun vertegenwoordigers over de in onderdeel b bedoelde aangelegenheden kunnen vergaderen;
de financiële en materiële middelen die voor de uitvoering van de procedure ter beschikking worden gesteld.
Het hoofdbestuur en de bijzondere onderhandelingsgroep kunnen overeenkomen dat voor delen van de communautaire onderneming of groep afzonderlijke Europese ondernemingsraden zullen worden ingesteld, dan wel afzonderlijke procedures zullen gelden. Eveneens kunnen zij overeenkomen dat voor een of meer delen van de communautaire onderneming of groep een of meer Europese ondernemingsraden worden ingesteld en voor andere delen een of meer procedures zullen gelden.
De overeenkomst tussen het hoofdbestuur en de bijzondere onderhandelingsgroep houdt bepalingen in omtrent de datum van inwerkingtreding, de duur van de overeenkomst, de wijze waarop de overeenkomst kan worden gewijzigd of opgezegd, de gevallen waarin en wijze waarop wordt onderhandeld over een nieuwe overeenkomst en de wijze waarop de overeenkomst wordt aangepast aan wijzigingen in de structuur of grootte van de communautaire onderneming of groep en in de aantallen werknemers die in de betrokken staten werkzaam zijn. Indien deze bepalingen niet inhouden, dat werknemers of hun vertegenwoordigers van ondernemingen of vestigingen, die na het sluiten van de overeenkomst tot de communautaire onderneming of groep zijn gaan behoren, binnen twee jaar worden betrokken bij de vernieuwing of aanpassing daarvan dan wel niet binnen twee jaar worden vertegenwoordigd in de Europese ondernemingsraad of bij de andere procedure van informatieverstrekking en raadpleging, is het hoofdbestuur verplicht om een nieuw samengestelde bijzondere onderhandelingsgroep in te stellen indien tenminste 100 zodanige werknemers of hun vertegenwoordigers daarom verzoeken.
Het hoofdbestuur behoeft geen informatie te verstrekken, voor zover dat in redelijkheid het functioneren van de communautaire onderneming of de groep ernstig zou belemmeren dan wel schaden. Het hoofdbestuur kan terzake van de informatieverstrekking geheimhouding opleggen, indien daarvoor een redelijke grond bestaat; zoveel mogelijk vóór de behandeling van de betrokken aangelegenheid wordt meegedeeld, welke grond bestaat voor het opleggen van de geheimhouding, welke schriftelijk of mondeling verstrekte gegevens onder de geheimhouding vallen, hoelang deze dient te duren, alsmede of er personen zijn ten aanzien van wie de geheimhouding niet in acht behoeft te worden genomen.
Indien de overeenkomst geen regels bevat als bedoeld in het derde lid, onderdeel e, vangt, in het geval er beslissingen worden overwogen, die waarschijnlijk belangrijke wijzigingen in de arbeidsorganisatie of de arbeidsovereenkomsten met zich brengen, de informatieverstrekking en raadpleging van de raad en de informatieverstrekking en raadpleging van de vertegenwoordigers van werknemers, bedoeld in artikel 3, tweede lid, zoveel mogelijk gelijktijdig aan.
Het hoofdbestuur staat in voor de naleving van rechten en verplichtingen, opgenomen in de overeenkomst.
