With regard to the Dutch establishments and undertakings, the members of the special negotiating body shall be appointed, or their appointment shall be revoked, by the works councils established at those establishments or undertakings.
If one or more central works councils have been established with regard to works councils as referred to in the first paragraph, the designation or revocation shall be effected by that council or those councils.
If no central works council has been established, but one or more group works councils have been, the designation or withdrawal shall be effected by that council or those councils.
If not all works councils or group works councils are represented in a central works council or group works council, the appointment or revocation shall be effected jointly by the central or group works council or councils and the non-represented works councils.
If no works council has been established, the members of the special negotiating body shall be elected by the employees of the Community-scale undertaking or group who are employed in the Netherlands. The election shall take place by secret written ballot, in which each employee has one vote. For the purpose of the election, an association of employees which counts the aforementioned employees among its members, which has as its object under its articles of association to promote the interests of its members as employees and is active as such within the undertaking or group concerned, and which furthermore possesses full legal capacity, is authorised to submit a list of candidates, provided that it has consulted with its members within the undertaking or group regarding the composition of the list of candidates.
In the application of the first to the fourth paragraph inclusive, employees of Dutch establishments or undertakings who are not represented in a works council, group works council or central works council shall be given the opportunity to express their views on the persons to be designated as members of the special negotiating body.
Met betrekking tot de Nederlandse vestigingen en ondernemingen worden de leden van de bijzondere onderhandelingsgroep aangewezen, dan wel wordt hun aanwijzing ingetrokken, door de bij die vestigingen of ondernemingen ingestelde ondernemingsraden.
Indien met betrekking tot ondernemingsraden als bedoeld in het eerste lid een of meer centrale ondernemingsraden zijn ingesteld, geschiedt de aanwijzing of intrekking door die raad of raden.
Indien geen centrale ondernemingsraad is ingesteld, maar wel een of meer groepsondernemingsraden, geschiedt de aanwijzing of intrekking door die raad of raden.
Indien niet alle ondernemingsraden of groepsondernemingsraden zijn vertegenwoordigd in een centrale ondernemingsraad of groepsondernemingsraad, geschiedt de aanwijzing of intrekking door de centrale onderscheidenlijk groepsondernemingsraad of raden en de niet-vertegenwoordigde ondernemingsraden gezamenlijk.
Indien er geen enkele ondernemingsraad is ingesteld, worden de leden van de bijzondere onderhandelingsgroep gekozen door de gezamenlijke in Nederland werkzame werknemers van de communautaire onderneming of groep. De verkiezing geschiedt bij geheime schriftelijke stemming, waarbij elke werknemer één stem heeft. Ten behoeve van de verkiezing is een vereniging van werknemers, die bedoelde werknemers onder haar leden telt, krachtens haar statuten ten doel heeft de belangen van haar leden als werknemers te behartigen en als zodanig binnen de betrokken onderneming of groep werkzaam is en voorts in het bezit is van volledige rechtsbevoegdheid, bevoegd een kandidatenlijst in te dienen, mits zij met haar leden binnen de onderneming of groep over de samenstelling van de kandidatenlijst overleg heeft gepleegd.
Bij de toepassing van het eerste tot en met vierde lid worden werknemers van Nederlandse vestigingen of ondernemingen die niet in een ondernemingsraad, groepsondernemingsraad of centrale ondernemingsraad vertegenwoordigd zijn in de gelegenheid gesteld zich over de als lid van de bijzondere onderhandelingsgroep aan te wijzen personen uit te spreken.
