Splitsing is pure division (zuivere splitsing) and partial division (afsplitsing).
Pure division (zuivere splitsing) is the legal act whereby the assets and liabilities of a legal person which ceases to exist upon the division are acquired under universal title, in accordance with the description attached to the deed of division, by two or more other legal persons.
Afsplitsing is the legal act whereby the assets or a part thereof of a legal person which does not cease to exist upon the division are acquired under universal title in accordance with the description attached to the deed of division by one or more other legal persons, of which at least one, in accordance with the provisions of this or the following section, grants membership rights or shares in its capital to the members or shareholders of the dividing legal person, or of which at least one is formed by the dividing legal person upon the division.
A party to the division is the dividing legal person as well as each acquiring legal person, with the exception of legal persons that are incorporated upon the division.
Splitsing is zuivere splitsing en afsplitsing.
Zuivere splitsing is de rechtshandeling waarbij het vermogen van een rechtspersoon die bij de splitsing ophoudt te bestaan onder algemene titel overeenkomstig de aan de akte van splitsing gehechte beschrijving wordt verkregen door twee of meer andere rechtspersonen.
Afsplitsing is de rechtshandeling waarbij het vermogen of een deel daarvan van een rechtspersoon die bij de splitsing niet ophoudt te bestaan onder algemene titel overeenkomstig de aan de akte van splitsing gehechte beschrijving wordt verkregen door een of meer andere rechtspersonen waarvan ten minste één overeenkomstig het bepaalde in deze of de volgende afdeling lidmaatschapsrechten of aandelen in zijn kapitaal toekent aan de leden of aan aandeelhouders van de splitsende rechtspersoon of waarvan ten minste één bij de splitsing door de splitsende rechtspersoon wordt opgericht.
Partij bij de splitsing is de splitsende rechtspersoon alsmede elke verkrijgende rechtspersoon, met uitzondering van rechtspersonen die bij de splitsing worden opgericht.
