A public limited company (naamloze vennootschap) may only take its own shares or depositary receipts therefor in pledge if:
the shares to be taken in pledge are fully paid up,
the nominal amount of the shares in its own capital and depositary receipts therefor to be taken in pledge and those already held or held in pledge together does not exceed one-tenth of the issued capital, and
the general meeting has approved the pledge agreement.
This Article shall not apply to shares and certificates thereof which a financial enterprise, permitted to conduct the business of a bank in the Netherlands pursuant to the Financial Supervision Act (Wet op het financieel toezicht), takes in pledge in the ordinary course of its business. These shares and certificates shall be disregarded for the purposes of the application of Article 98, paragraph 2, under (b), and Article 98a, paragraph 3.
De naamloze vennootschap kan eigen aandelen of certificaten daarvan slechts in pand nemen, indien:
de in pand te nemen aandelen volgestort zijn,
het nominale bedrag van de in pand te nemen en de reeds gehouden of in pand gehouden eigen aandelen en certificaten daarvan tezamen niet meer dan een tiende van het geplaatste kapitaal bedraagt, en
de algemene vergadering de pandovereenkomst heeft goedgekeurd.
Dit artikel is niet van toepassing op aandelen en certificaten daarvan die een financiële onderneming die in Nederland het bedrijf van bank mag uitoefenen ingevolge de Wet op het financieel toezicht, in de gewone uitoefening van haar bedrijf in pand neemt. Deze aandelen en certificaten blijven buiten beschouwing bij de toepassing van de artikelen 98 lid 2 onder b en 98a lid 3.
