Subject to the provisions of the following Article, all members who are not suspended shall have access to the general meeting and shall each have one vote thereat; a suspended member shall have access to the meeting at which the resolution to suspend is considered and is entitled to speak thereat. The articles of association may grant more than one vote to certain members.
Unless the articles of association provide otherwise, the chairperson and the secretary of the board or their deputies shall, as such, also act in that capacity at the general meeting.
The articles of association may provide that persons who form part of other bodies of the association and who are not members, may exercise voting rights in the general meeting. The number of votes cast by them collectively shall, however, not exceed half of the number of votes cast by the members.
Unless the articles of association provide otherwise, a person entitled to vote pursuant to paragraph 1 or paragraph 3 may grant a written proxy to another person entitled to vote to cast his vote.
The requirement that the power of attorney be in writing is met if the power of attorney is recorded electronically.
The articles of association may provide that a person entitled to vote pursuant to paragraph 1 or paragraph 3 may exercise the right to vote by means of an electronic communication tool.
For the application of paragraph 6, it is required that the person entitled to vote can be identified via the electronic means of communication, can directly follow the proceedings at the meeting, and can exercise the right to vote. The articles of association may provide that it is additionally required that the person entitled to vote can participate in the deliberations via the electronic means of communication.
The articles of association may provide that votes cast via an electronic means of communication prior to the general meeting, but not earlier than on the thirtieth day before that of the meeting, shall be equated with votes cast at the time of the meeting.
Conditions for the use of the electronic means of communication may be imposed by or pursuant to the articles of association. If these conditions are imposed pursuant to the articles of association, they shall be announced in the notice of the meeting.
Behoudens het in het volgende artikel bepaalde, hebben alle leden die niet geschorst zijn, toegang tot de algemene vergadering en hebben daar ieder één stem; een geschorst lid heeft toegang tot de vergadering waarin het besluit tot schorsing wordt behandeld, en is bevoegd daarover het woord te voeren. De statuten kunnen aan bepaalde leden meer dan één stem toekennen.
Tenzij de statuten anders bepalen, treden de voorzitter en de secretaris van het bestuur of hun vervangers, als zodanig ook op bij de algemene vergadering.
De statuten kunnen bepalen dat personen die deel uitmaken van andere organen der vereniging en die geen lid zijn, in de algemene vergadering stemrecht kunnen uitoefenen. Het aantal der door hen gezamenlijk uitgebrachte stemmen zal echter niet meer mogen zijn dan de helft van het aantal der door de leden uitgebrachte stemmen.
Tenzij de statuten anders bepalen, kan iemand die krachtens lid 1 of lid 3 stemgerechtigd is, aan een andere stemgerechtigde schriftelijk volmacht verlenen tot het uitbrengen van zijn stem.
Aan de eis van schriftelijkheid van de volmacht wordt voldaan indien de volmacht elektronisch is vastgelegd.
De statuten kunnen bepalen dat iemand die krachtens lid 1 of lid 3 stemgerechtigd is het stemrecht kan uitoefenen door middel van een elektronisch communicatiemiddel.
Voor de toepassing van lid 6 is vereist dat de stemgerechtigde via het elektronisch communicatiemiddel kan worden geïdentificeerd, rechtstreeks kan kennisnemen van de verhandelingen ter vergadering en het stemrecht kan uitoefenen. De statuten kunnen bepalen dat bovendien is vereist dat de stemgerechtigde via het elektronisch communicatiemiddel kan deelnemen aan de beraadslaging.
De statuten kunnen bepalen dat stemmen die voorafgaand aan de algemene vergadering via een elektronisch communicatiemiddel worden uitgebracht, doch niet eerder dan op de dertigste dag voor die van de vergadering, gelijk worden gesteld met stemmen die ten tijde van de vergadering worden uitgebracht.
Bij of krachtens de statuten kunnen voorwaarden worden gesteld aan het gebruik van het elektronisch communicatiemiddel. Indien deze voorwaarden krachtens de statuten worden gesteld, worden deze bij de oproeping bekend gemaakt.
