in forceThe provision of information to the works council
The entrepreneur is obliged, upon request, to provide the works council and the committees of that council in a timely manner with all information and data that they reasonably require for the performance of their duties. The information and data shall be provided in writing upon request.
The entrepreneur is obliged to provide the works council with written information at the beginning of each term of office regarding:
the legal form of the entrepreneur, whereby, if the entrepreneur is a non-public law legal entity, the articles of association of that legal entity must also be provided;
if the trader is a natural person, a partnership (maatschap) or a company not possessing legal personality: the name and the place of residence of that person, the partners or the managing partners, respectively;
if the entrepreneur is a legal person: the name and the place of residence of the supervisory directors or the members of the management board;
if the entrepreneur is part of a number of entrepreneurs connected in a group: the entrepreneurs that form part of that group, the control relationships by which they are connected to one another, as well as the name and the place of residence of those who, as a result of the aforementioned relationships, are able to exercise actual control over the entrepreneur;
the entrepreneurs or the institutions with whom the entrepreneur, other than by virtue of control relationships as referred to under (d), maintains sustainable relationships that may be of essential importance for the continuity of the enterprise, as well as the name and the place of residence of those who, as a result of such relationships, may exercise factual control over the entrepreneur;
the organisation of the enterprise, the name and the place of residence of the directors and of the principal other executive personnel, as well as the manner in which the powers are distributed among the aforementioned persons.
Paragraph 2, point (d), also extends to the entrepreneur who is part of an international group of undertakings. Paragraph 2, point (e), also extends to the entrepreneur who, otherwise than by virtue of control relationships as referred to in the preceding sentence, maintains sustainable relations with foreign undertakings or institutions.
The entrepreneur is obliged to inform the works council as soon as possible of any changes that have occurred in the data referred to in the second paragraph.
De ondernemer is verplicht desgevraagd aan de ondernemingsraad en aan de commissies van die raad tijdig alle inlichtingen en gegevens te verstrekken die deze voor de vervulling van hun taak redelijkerwijze nodig hebben. De inlichtingen en gegevens worden desgevraagd schriftelijk verstrekt.
De ondernemer is verplicht aan de ondernemingsraad bij het begin van iedere zittingsperiode schriftelijk gegevens te verstrekken omtrent:
de rechtsvorm van de ondernemer, waarbij indien de ondernemer een niet-publiekrechtelijke rechtspersoon is, mede de statuten van die rechtspersoon moeten worden verstrekt;
indien de ondernemer een natuurlijke persoon, een maatschap of een niet-rechtspersoonlijkheid bezittende vennootschap is: de naam en de woonplaats van onderscheidenlijk die persoon, de maten of de beherende vennoten;
indien de ondernemer een rechtspersoon is: de naam en de woonplaats van de commissarissen of de bestuursleden;
indien de ondernemer deel uitmaakt van een aantal in een groep verbonden ondernemers: de ondernemers die deel uitmaken van die groep, de zeggenschapsverhoudingen waardoor zij onderling zijn verbonden, alsmede de naam en de woonplaats van degenen die ten gevolge van de bedoelde verhoudingen feitelijke zeggenschap over de ondernemer kunnen uitoefenen;
de ondernemers of de instellingen met wie de ondernemer, anders dan uit hoofde van zeggenschapsverhoudingen als bedoeld onder d, duurzame betrekkingen onderhoudt die van wezenlijk belang kunnen zijn voor het voortbestaan van de onderneming, alsmede de naam en de woonplaats van degenen die ten gevolge van zodanige betrekkingen feitelijke zeggenschap over de ondernemer kunnen uitoefenen;
de organisatie van de onderneming, de naam en de woonplaats van de bestuurders en van de belangrijkste overige leidinggevende personen, alsmede de wijze waarop de bevoegdheden tussen de bedoelde personen zijn verdeeld.
Het tweede lid, onderdeel d, strekt zich ook uit tot de ondernemer die deel uitmaakt van een internationale groep van ondernemingen. Het tweede lid, onderdeel e, strekt zich ook uit tot de ondernemer die anders dan uit hoofde van zeggenschapsverhoudingen als bedoeld in de vorige zin, duurzame betrekkingen met buitenlandse ondernemers of instellingen onderhoudt.
De ondernemer is verplicht de ondernemingsraad zo spoedig mogelijk in kennis te stellen van wijzigingen die zich in de in het tweede lid bedoelde gegevens hebben voorgedaan.
