in forceIf the place of establishment has been transferred to another part of the Kingdom, the following shall be made public there as soon as possible:
the court order by which the place of residence has been transferred;
the deed of incorporation or the articles of association and regulations of the legal person, as they read following the amendment.
In the case referred to in the first paragraph, the order by which the place of establishment has been transferred shall furthermore be made public in the part of the Kingdom where the legal person was previously established, unless there are reasonable objections against this.
If the place of establishment has been transferred to another location within the same part of the Kingdom, the first and second paragraphs shall apply mutatis mutandis.
Publication shall be effected by means of the gazette in which official notices are published by the government in the relevant part of the Kingdom, either by the legal person or by Us.
By way of derogation from the first three paragraphs, the articles of association and regulations of a legal person, which is not a public limited company, a private limited company, or a private company, and any amendments made thereto, only need to be disclosed insofar as other statutory provisions applicable in the relevant part of the Kingdom prescribe a similar disclosure of the articles of association and regulations of such a legal person.
Insofar as the requirements of the preceding paragraphs have not been complied with, the transfer and the amendment of the deed of incorporation or of the articles of association and regulations may not be invoked against third parties acting in good faith.
Indien de plaats van vestiging is overgebracht naar een ander deel van het Koninkrijk, worden aldaar zo spoedig mogelijk openbaar gemaakt:
de beschikking, waardoor de plaats van vestiging is overgebracht;
de akte van oprichting of de statuten en reglementen van de rechtspersoon, zoals zij door de wijziging zijn komen te luiden.
In het geval, bedoeld in het eerste lid, wordt voorts, tenzij daartegen redelijke bezwaren bestaan, in het deel van het Koninkrijk, waar de rechtspersoon tevoren gevestigd was, openbaar gemaakt de beschikking, waardoor de plaats van vestiging is overgebracht.
Indien de plaats van vestiging is overgebracht naar een andere plaats binnen hetzelfde deel van het Koninkrijk, zijn het eerste en het tweede lid van overeenkomstige toepassing.
De openbaarmaking geschiedt door middel van het blad, waarin van overheidswege de officiële berichten in het betrokken deel van het Koninkrijk worden gepubliceerd, en wel hetzij door de rechtspersoon, hetzij van Onzentwege.
In afwijking van de eerste drie leden behoeven de statuten en reglementen van een rechtspersoon, die geen naamloze vennootschap, besloten vennootschap met beperkte aansprakelijkheid of besloten vennootschap is, en de daarin aangebrachte wijzigingen slechts te worden openbaar gemaakt, voor zover andere in het betrokken deel van het Koninkrijk geldende wettelijke bepalingen een soortgelijke openbaarmaking van de statuten en reglementen van zodanige rechtspersoon voorschrijven.
Voor zover aan de voorschriften van de vorige leden niet is voldaan, kunnen de overbrenging en de wijziging van de akte van oprichting of van de statuten en reglementen niet tegen derden te goeder trouw worden ingeroepen.
