In derogation from Article 213o, without prejudice to Article 213p, the effects of liquidation proceedings on the rights and obligations of participants in a regulated market as referred to in Article 4, paragraph 1, point 21, of Directive 2014/65/EU of the European Parliament and of the Council of 15 May 2014 on markets in financial instruments and amending Directive 2002/92/EC and Directive 2011/61/EU (OJ EU 2014, L 173) are governed exclusively by the law applicable to that market.

Paragraph 1 does not preclude a claim from being instituted for the nullity, annulment or unenforceability of a juridical act on account of the prejudice to the creditors as a whole which is the result of that juridical act.

For the application of paragraph 1 to a liquidation procedure concerning an insurer, a regulated market shall also be understood to mean a financial market situated in a State which is not a Member State, which meets the following conditions:

a.

the market is, in the case of an insurer with its seat in the Netherlands or an insurer with its seat in a state that is not a Member State with a branch in the Netherlands, designated by the Minister of Finance or is, in the case of an insurer with its seat in another Member State, recognised by an authority of that Member State competent for that purpose and furthermore complies with requirements that are comparable to those of Directive 2014/65/EU of the European Parliament and of the Council of 15 May 2014 on markets in financial instruments and amending Directive 2002/92/EC and Directive 2011/61/EU (OJ EU 2014, L 173); and

b.

The financial instruments that are traded on the market are of a quality that is comparable to that of the instruments that are traded on the regulated markets of the Netherlands, respectively the markets of the other Member State.

In afwijking van artikel 213o worden, onverminderd artikel 213p, de gevolgen van een liquidatieprocedure voor de rechten en verplichtingen van deelnemers aan een gereglementeerde markt als bedoeld in artikel 4, eerste lid, onderdeel 21, van richtlijn 2014/65/EU van het Europees Parlement en de Raad van 15 mei 2014 betreffende markten voor financiële instrumenten en tot wijziging van Richtlijn 2002/92/EG en Richtlijn 2011/61/EU (PbEU 2014, L 173) uitsluitend beheerst door het recht dat op die markt van toepassing is.

Het eerste lid staat er niet aan in de weg dat een vordering wordt ingesteld tot nietigheid, vernietiging of het niet kunnen worden tegengeworpen van een rechtshandeling wegens de benadeling van het geheel van schuldeisers die van die rechtshandeling het gevolg is.

Voor de toepassing van het eerste lid op een liquidatieprocedure met betrekking tot een verzekeraar, wordt onder gereglementeerde markt mede verstaan een in een staat die geen lidstaat is gelegen financiële markt die aan de volgende voorwaarden voldoet:

a.

de markt is, in geval van een verzekeraar met zetel in Nederland of een verzekeraar met zetel in een staat die geen lidstaat is met een bijkantoor in Nederland, aangewezen door de Minister van Financiën of is, in geval van een verzekeraar met zetel in een andere lidstaat, erkend door een daartoe bevoegde autoriteit van die lidstaat en voldoet voorts aan vereisten die vergelijkbaar zijn met die van richtlijn 2014/65/EU van het Europees Parlement en de Raad van 15 mei 2014 betreffende markten voor financiële instrumenten en tot wijziging van Richtlijn 2002/92/EG en Richtlijn 2011/61/EU (PbEU 2014, L 173); en

b.

de financiële instrumenten die op de markt worden verhandeld, zijn van een kwaliteit die vergelijkbaar is met die van de instrumenten die worden verhandeld op de gereglementeerde markten van Nederland, onderscheidenlijk de markten van de andere lidstaat.
