Article 213

For the purposes of this section, the following definitions apply:
insurer: a non-life insurer or life insurer as referred to in point d, point e, and point f, respectively;
indemnity insurance contract: an indemnity insurance contract as referred to in Article 1:1 of the Financial Supervision Act;
life insurance contract: a life insurance contract as referred to in Article 1:1 of the Financial Supervision Act;
non-life insurer: a non-life insurer as referred to in Article 1:1 of the Financial Supervision Act that falls within the scope of the Solvency II Directive;
life insurer: a life insurer as referred to in Article 1:1 of the Financial Supervision Act that falls within the scope of the Solvency II Directive;
reinsurer: a reinsurer as referred to in Article 1:1 of the Financial Supervision Act which falls within the scope of the Solvency II Directive;
seat: the place where an insurer or a parent company of an insurer is established according to its articles of association or regulations or, if it is not a legal person, the place where that insurer or that parent company has its principal place of business;
branch: a permanent presence of an insurer, with the exception of the seat, managed by the insurer's own personnel or by an independent person who is authorised to act permanently on behalf of the insurer;
liquidation proceedings: a collective proceeding, including bankruptcy, opened in a Member State of the European Union, which involves the realisation of the assets of an insurer and the appropriate distribution of the proceeds among the creditors, shareholders or members, and which necessarily involves an intervention by the administrative or judicial authorities of that Member State, including the collective proceeding which is concluded with a judicial composition or another measure to the same effect, regardless of whether the proceeding is based on insolvency and regardless of whether the proceeding is opened on the insurer's own declaration or upon the petition (application) of another;
Member State: a state which is a member of the European Union or a state, not being a Member State of the European Union, which is a party to the agreement concluded on 2 May 1992 concerning the European Economic Area (Trb. 1992, 132);
Member State of origin: the Member State where the insurer has its seat;
competent authorities: the administrative or judicial authorities which are competent in respect of liquidation proceedings;
supervisory authority: the body which, in a Member State, is charged by or pursuant to the law with the supervision of the insurance business;
liquidator: the liquidator or any other person or other body, appointed by the competent authorities of a Member State other than the Netherlands or by a management body of the insurer to carry out the liquidation proceedings;
claim under insurance: the direct claim against the insurer under a contract of insurance or a contract for capitalisation operations or management of collective pension funds as referred to under points 6 and 7 of the enumeration concerning the business of a life insurer in the Annex Branches to the Financial Supervision Act;
transferee: the person who takes over assets or liabilities, the person who is willing to do so and the person who investigates whether he is willing to do so;
Solvency II Directive: Directive 2009/138/EC of the European Parliament and of the Council of 25 November 2009 on the taking-up and pursuit of the business of Insurance and Reinsurance (Solvency II) (recast) (OJ EU 2009, L 335);
parent company: a parent company as referred to in Article 1:1 of the Financial Supervision Act.
Voor de toepassing van deze afdeling wordt verstaan onder:
verzekeraar: een schadeverzekeraar of levensverzekeraar als bedoeld in onderdeel d, onderdeel e, onderscheidenlijk onderdeel f;
overeenkomst van schadeverzekering: een overeenkomst van schadeverzekering als bedoeld in artikel 1:1 van de Wet op het financieel toezicht;
overeenkomst van levensverzekering: een overeenkomst van levensverzekering als bedoeld in artikel 1:1 van de Wet op het financieel toezicht;
schadeverzekeraar: een schadeverzekeraar als bedoeld in artikel 1:1 van de Wet op het financieel toezicht die onder het toepassingsgebied van de richtlijn solvabiliteit II valt;
levensverzekeraar: een levensverzekeraar als bedoeld in artikel 1:1 van de Wet op het financieel toezicht die onder het toepassingsgebied van de richtlijn solvabiliteit II valt;
herverzekeraar: een herverzekeraar als bedoeld in artikel 1:1 van de Wet op het financieel toezicht die onder het toepassingsgebied van de richtlijn solvabiliteit II valt;
zetel: de plaats waar een verzekeraar of een moedermaatschappij van een verzekeraar volgens zijn of haar statuten of reglementen is gevestigd of, indien deze geen rechtspersoon is, de plaats waar die verzekeraar of die moedermaatschappij zijn of haar hoofdvestiging heeft;
bijkantoor: een duurzame aanwezigheid van een verzekeraar, met uitzondering van de zetel, beheerd door eigen personeel van de verzekeraar of door een zelfstandig persoon die is gemachtigd duurzaam voor de verzekeraar op te treden;
liquidatieprocedure: een collectieve procedure, het faillissement daaronder begrepen, geopend in een lidstaat van de Europese Unie, die het te gelde maken van de activa van een verzekeraar en het op toepasselijke wijze verdelen van de opbrengst onder de schuldeisers, aandeelhouders of leden behelst, en die noodzakelijkerwijs een optreden van de administratieve of rechterlijke instanties van die lidstaat behelst, daaronder begrepen de collectieve procedure die wordt afgesloten met een gerechtelijk akkoord of een andere maatregel van dezelfde strekking, ongeacht of de procedure op insolventie berust en ongeacht of de procedure op eigen aangifte van de verzekeraar dan wel op verzoek van een ander is geopend;
lidstaat: een staat die lid is van de Europese Unie of een staat, niet zijnde een lidstaat van de Europese Unie, die partij is bij de op 2 mei 1992 tot stand gekomen overeenkomst betreffende de Europese Economische Ruimte (Trb. 1992, 132);
lidstaat van herkomst: de lidstaat waar de verzekeraar zijn zetel heeft;
bevoegde instanties: de administratieve of rechterlijke instanties die bevoegd zijn ter zake van liquidatieprocedures;
toezichthoudende autoriteit: de instantie die in een lidstaat bij of krachtens de wet met het toezicht op het verzekeringsbedrijf is belast;
curator: de curator of elke andere persoon of ander orgaan, aangewezen door de bevoegde instanties van een andere lidstaat dan Nederland of door een bestuursorgaan van de verzekeraar om de liquidatieprocedure uit te voeren;
vordering uit hoofde van verzekering: de rechtstreekse vordering op de verzekeraar uit hoofde van een overeenkomst van verzekering of een overeenkomst tot kapitalisatieverrichtingen of beheer over collectieve pensioenfondsen als bedoeld onder punten 6 en 7 van de opsomming betreffende het bedrijf van levensverzekeraar in de Bijlage branches bij de Wet op het financieel toezicht;
overnemer: degene die activa of passiva overneemt, degene die bereid is zulks te doen en degene die onderzoekt of hij daartoe bereid is;
richtlijn solvabiliteit II: richtlijn 2009/138/EG van het Europees Parlement en de Raad van 25 november 2009 betreffende de toegang tot en uitoefening van het verzekerings- en het herverzekeringsbedrijf (Solvabiliteit II) (herschikking) (PbEU 2009, L 335);
moedermaatschappij: een moedermaatschappij als bedoeld in artikel 1:1 van de Wet op het financieel toezicht.
