Our Minister of Finance may, having consulted De Nederlandsche Bank N.V., designate as a system a formal agreement between three or more participants, not counting the system operator, a settlement agent, a central counterparty, a clearing house or an indirect participant, with common rules and standard procedures for the clearing or execution of transfer orders between the participants, provided that:
the participants have chosen Dutch law as the law applicable to that agreement; and
at least one of the participants has its principal place of business in the Netherlands.
If this is necessary with a view to avoiding systemic risks, Our Minister of Finance may, having consulted De Nederlandsche Bank N.V., designate as a system a formal agreement between two participants, not counting a settlement agent, a central counterparty, a clearing house or an indirect participant, with common rules and standard procedures for the execution of transfer orders between the participants, provided that:
the participants have chosen Dutch law as the law applicable to that agreement; and
at least one of the participants has its principal place of business in the Netherlands.
An agreement concluded between interoperable systems does not constitute a system.
Our Minister of Finance may attach conditions to the decision of designation as a system.
The system operator notifies De Nederlandsche Bank N.V. of the institutions that directly or indirectly participate in the system, as well as of any commencement or termination of participation by an institution in the system. De Nederlandsche Bank N.V. receives the information on behalf of Our Minister of Finance.
Notice of an order as referred to in paragraph 1 shall be given in the Government Gazette.
Our Minister of Finance notifies the designated systems to the European Securities and Markets Authority.
An institution shall, upon request, inform any person who has a legitimate interest of the systems in which the institution participates and provide information on the main rules that apply to the functioning of those systems.
Onze Minister van Financiën kan, De Nederlandsche Bank N.V. gehoord, als systeem aanwijzen een formele overeenkomst tussen drie of meer deelnemers, de systeemexploitant, een afwikkelende instantie, een centrale tegenpartij, een verrekeningsinstituut of een indirecte deelnemer niet meegerekend, met gemeenschappelijke regels en standaardprocedures voor de clearing of het uitvoeren van overboekingsopdrachten tussen de deelnemers, mits:
de deelnemers het Nederlandse recht hebben gekozen als het recht dat op die overeenkomst van toepassing is; en
ten minste een van de deelnemers zijn hoofdvestiging in Nederland heeft.
Indien dit noodzakelijk is met het oog op het vermijden van systeemrisico's, kan Onze Minister van Financiën, De Nederlandsche Bank N.V. gehoord, als systeem aanwijzen een formele overeenkomst tussen twee deelnemers, een afwikkelende instantie, een centrale tegenpartij, een verrekeningsinstituut of een indirecte deelnemer niet meegerekend, met gemeenschappelijke regels en standaardprocedures voor het uitvoeren van overboekingsopdrachten tussen de deelnemers, mits:
de deelnemers het Nederlandse recht hebben gekozen als het recht dat op die overeenkomst van toepassing is; en
ten minste een van de deelnemers zijn hoofdvestiging in Nederland heeft.
Een tussen interoperabele systemen gesloten overeenkomst vormt geen systeem.
Aan de beschikking tot aanwijzing als systeem kan Onze Minister van Financiën voorschriften verbinden.
De systeemexploitant stelt De Nederlandsche Bank N.V. in kennis van de instellingen die direct of indirect deelnemen aan het systeem, alsmede van elke aanvang of beëindiging van deelname door een instelling aan het systeem. De Nederlandsche Bank N.V. ontvangt de informatie namens Onze Minister van Financiën.
Van een beschikking als bedoeld in het eerste lid wordt in de Staatscourant mededeling gedaan.
Onze Minister van Financiën meldt de aangewezen systemen aan bij de Europese autoriteit voor effecten en markten.
Een instelling deelt desgevraagd een ieder die een gerechtvaardigd belang heeft mee aan welke systemen de instelling deelneemt en verstrekt informatie over de belangrijkste regels die gelden voor de werking van die systemen.
