The power to effect an extrajudicial dissolution shall lapse upon the prescription of the right of action for dissolution. Prescription shall not preclude judicial or extrajudicial dissolution as a defense against a right of action or other legal measure based on the agreement.
De bevoegdheid tot buitengerechtelijke ontbinding vervalt door verjaring van de rechtsvordering tot ontbinding. De verjaring staat niet in de weg aan gerechtelijke of buitengerechtelijke ontbinding ter afwering van een op de overeenkomst steunende rechtsvordering of andere rechtsmaatregel.
