The company shall disclose the amount of the remuneration for each director. This amount shall be broken down into
periodically paid remunerations,
remunerations payable in installments,
payments upon termination of the employment agreement
profit sharing and bonus payments
insofar as these amounts have been charged to the company in the financial year.
If the company has paid remuneration in the form of a bonus which is based, in whole or in part, on the achievement of targets set by or on behalf of the company, it shall disclose this. In doing so, the company shall state whether these targets have been achieved in the financial year.
The company shall state the amount of the remuneration for each former director, broken down into benefits payable in the long term and severance payments, insofar as these amounts have been borne by the company in the financial year.
The company shall state the amount of the remuneration for each supervisory director, insofar as these amounts have been charged to the company in the financial year. If the company has granted remuneration in the form of profit-sharing or a bonus, it shall state this separately, specifying the reasons underlying the decision to grant remuneration in this form to a supervisory director. The last two sentences of paragraph 1 shall apply mutatis mutandis.
The company shall state the amount of the remuneration of each former supervisory director, insofar as this amount has been charged to the company in the financial year.
If the company has subsidiaries or consolidates the financial data of other companies, the amounts that have been charged to them in the financial year shall be included in the statements, allocated to the relevant category of remuneration referred to in paragraphs 1 to 4.
The company shall state the amount of the adjustment or claw back of the remuneration as referred to in Article 135 paragraphs 6 to 8 inclusive.
De vennootschap doet opgave van het bedrag van de bezoldiging voor iedere bestuurder. Dit bedrag wordt uitgesplitst naar
periodiek betaalde beloningen,
beloningen betaalbaar op termijn,
uitkeringen bij beëindiging van het dienstverband,
winstdelingen en bonusbetalingen,
voor zover deze bedragen in het boekjaar ten laste van de vennootschap zijn gekomen.
Indien de vennootschap een bezoldiging in de vorm van bonus heeft betaald die geheel of gedeeltelijk is gebaseerd op het bereiken van de door of vanwege de vennootschap gestelde doelen, doet zij hiervan mededeling. Daarbij vermeldt de vennootschap of deze doelen in het verslagjaar zijn bereikt.
De vennootschap doet opgave van het bedrag van de bezoldiging voor iedere gewezen bestuurder, uitgesplitst naar beloningen betaalbaar op termijn en uitkeringen bij beëindiging van het dienstverband, voor zover deze bedragen in het boekjaar ten laste van de vennootschap zijn gekomen.
De vennootschap doet opgave van het bedrag van de bezoldiging voor iedere commissaris, voor zover deze bedragen in het boekjaar ten laste van de vennootschap zijn gekomen. Indien de vennootschap een bezoldiging in de vorm van winstdeling of bonus heeft toegekend, vermeldt zij deze afzonderlijk onder opgave van de redenen die ten grondslag liggen aan het besluit tot het toekennen van bezoldiging in deze vorm aan een commissaris. De laatste twee volzinnen van lid 1 zijn van overeenkomstige toepassing.
De vennootschap doet opgave van het bedrag van de bezoldiging van iedere gewezen commissaris, voor zover dit bedrag in het boekjaar ten laste van de vennootschap is gekomen.
Indien de vennootschap dochtermaatschappijen heeft of de financiële gegevens van andere maatschappijen consolideert, worden de bedragen die in het boekjaar te hunnen laste zijn gekomen, in de opgaven begrepen, toegerekend naar de betreffende categorie van bezoldiging bedoeld in de leden 1 tot en met 4.
De vennootschap doet opgave van het bedrag van de aanpassing dan wel terugvordering van de bezoldiging als bedoeld in artikel 135 lid 6 tot en met 8.
