Article 2:155

In deviation from Article 154, Articles 162 and 164a paragraph 2 do not apply to a company in which a participation of at least half of the issued capital is held:
by a legal person of which the majority of the employees are employed outside the Netherlands, or by dependent companies thereof
pursuant to a mutual arrangement for cooperation by a number of such legal persons or companies, or
pursuant to a mutual arrangement for cooperation by one or more of such legal persons and one or more legal persons to which Article 153 paragraph 3 under a or Article 263 paragraph 3 under a applies or to which Articles 63f up to and including 63j, Articles 158 up to and including 161 and 164 or Articles 268 up to and including 271 and 274 are applicable.
The exception according to the previous paragraph shall, however, not apply if the employees in the service of the company, together with those in the service of the legal person or legal persons, are for the majority employed in the Netherlands.
For the purposes of this Article, employees in the service of a legal person shall include employees in the service of group companies.
In afwijking van artikel 154 gelden de artikelen 162 en 164a lid 2 niet voor een vennootschap waarin een deelneming voor ten minste de helft van het geplaatste kapitaal wordt gehouden:
door een rechtspersoon waarvan de werknemers in meerderheid buiten Nederland werkzaam zijn, of door afhankelijke maatschappijen daarvan
volgens een onderlinge regeling tot samenwerking door een aantal van zulke rechtspersonen of maatschappijen, of
volgens een onderlinge regeling tot samenwerking door een of meer van zulke rechtspersonen en een of meer rechtspersonen waarvoor artikel 153 lid 3 onder a of artikel 263 lid 3 onder a geldt of waarop de artikelen 63f tot en met 63j, de artikelen 158 tot en met 161 en 164 of de artikelen 268 tot en met 271 en 274 van toepassing zijn.
De uitzondering volgens het vorige lid geldt echter niet, indien de werknemers in dienst van de vennootschap, tezamen met die in dienst van de rechtspersoon of rechtspersonen, in meerderheid in Nederland werkzaam zijn.
Voor de toepassing van dit artikel worden onder werknemers, in dienst van een rechtspersoon, begrepen de werknemers in dienst van groepsmaatschappijen.
