The board of directors represents the company, insofar as the law does not provide otherwise.
The power of representation shall also be vested in each director. The articles of association may, however, provide that, in addition to the board, such power is vested only in one or more directors. They may further provide that a director may only represent the company with the cooperation of one or more other persons.
The power of representation granted to the board or to a director is unlimited and unconditional, insofar as the law does not provide otherwise. A legally permitted or prescribed limitation of or condition for the power of representation may only be invoked by the company.
The articles of association may also grant the power of representation to persons other than directors.
Het bestuur vertegenwoordigt de vennootschap, voor zover uit de wet niet anders voortvloeit.
De bevoegdheid tot vertegenwoordiging komt mede aan iedere bestuurder toe. De statuten kunnen echter bepalen dat zij behalve aan het bestuur slechts toekomt aan een of meer bestuurders. Zij kunnen voorts bepalen dat een bestuurder de vennootschap slechts met medewerking van een of meer anderen mag vertegenwoordigen.
Bevoegdheid tot vertegenwoordiging die aan het bestuur of aan een bestuurder toekomt, is onbeperkt en onvoorwaardelijk, voor zover uit de wet niet anders voortvloeit. Een wettelijk toegelaten of voorgeschreven beperking van of voorwaarde voor de bevoegdheid tot vertegenwoordiging kan slechts door de vennootschap worden ingeroepen.
De statuten kunnen ook aan andere personen dan bestuurders bevoegdheid tot vertegenwoordiging toekennen.
