1.

This article applies to a company whose shares are admitted to trading on a regulated market or a multilateral trading facility as referred to in Article 1:1 of the Financial Supervision Act (Wet op het financieel toezicht) or a system comparable to a regulated market or multilateral trading facility from a state that is not a Member State and which does not make use of the possibility referred to in Article 359b, paragraph 1, subparagraph a.

2.

The company may invoke a cooling-off period in the following cases:

a.

if one or more holders of shares, in accordance with Article 114a or pursuant to Article 110 paragraph 1 or in accordance with the articles of association of the company, request the consideration of a proposal for the appointment, suspension or dismissal of one or more directors or supervisory directors, or a proposal for the amendment of one or more provisions of the articles of association relating to the appointment, suspension or dismissal of directors or supervisory directors, or

b.

if a public bid has been announced or made for shares in the capital of the company without agreement having been reached with the company regarding the bid,

and the petition referred to under (a) or the offer referred to under (b) is, in the opinion of the board, substantially contrary to the interests of the company and the business connected with it.

The reasoned decision of the board to invoke the cooling-off period is subject to the approval of the supervisory board, if any.

One or more holders of shares who, at the time the cooling-off period is invoked, are entitled to the right to include items on the agenda pursuant to Article 114a, may petition the Enterprise Chamber of the Amsterdam Court of Appeal for the termination of the cooling-off period. Article 349a paragraph 1 shall apply, with the exception of the first sentence. The Enterprise Chamber shall grant the petition:

a.

when the board, in light of the circumstances at the time of invoking the cooling-off period, could not have reasonably judged that the petition (application) referred to in paragraph 2 under a or the offer referred to in paragraph 2 under b is materially contrary to the interests of the company and its affiliated enterprise;

b.

when the board can no longer reasonably judge that the continuation of the cooling-off period can contribute to a careful determination of policy; or

c.

when, during the response period, one or more measures are active which, by their nature, purpose and tenor, correspond to the response period and these measures have not been terminated or suspended within a reasonable period following a written request to that effect from these holders of shares.

The cooling-off period shall apply for a term of no more than two hundred and fifty days, calculated from the day following the final date by which a petition (application) as referred to in paragraph 2, subparagraph (a) must have been received for the next general meeting in accordance with Article 114a or the articles of association of the company, or calculated from no later than the day following the day on which the public offer was made as referred to in paragraph 2, subparagraph (b). If Article 111 has been applied, the cooling-off period shall commence at the moment the preliminary relief judge has granted the requested authorisation. The management board may at any time decide to terminate the cooling-off period prematurely. Paragraph 3 shall apply mutatis mutandis. The cooling-off period shall in any event end on the day following the unconditional declaration of a public offer. The ground for invoking the cooling-off period in one of the cases mentioned in paragraph 2 shall be without prejudice to the possibility of invoking a cooling-off period on another ground.

Invoking the cooling-off period (bedenktijd) results in the suspension of the powers of the general meeting referred to in Articles 121 paragraph 1, insofar as the amendment of the articles of association relates to the appointment, suspension or dismissal of directors or supervisory directors, 132 paragraph 1, 134 paragraph 1, 142 paragraph 1, 144 paragraph 1 and 161a paragraph 1 during the cooling-off period, unless the company lists the proposal for the appointment, suspension or dismissal of a director or supervisory director as an item for voting in the notice of the meeting referred to in Article 114 paragraph 1 under a.

During the cooling-off period (bedenktijd), the management board shall gather all information necessary for a careful determination of policy. To this end, the management board shall in any event consult the shareholders who, at the time the cooling-off period was invoked, represent at least three-hundredths of the issued capital, as well as the works council. If the consulted shareholders or the works council have made a position known to the management board, the management board shall place this position on the company's website without delay, insofar as the consulted parties have consented thereto. Article 107a paragraph 4 shall apply mutatis mutandis.

8.

The board of directors shall report on the policy pursued and the state of affairs since the invocation of the cooling-off period. No later than one week after the last day of the cooling-off period, the company shall make the report available for inspection by the shareholders at the office of the company and shall post the report on the company's website.

9.

The report referred to in paragraph 8 shall be stated as an item for discussion in the notice of the first general meeting to be held after the expiry of the cooling-off period.

10.

For the purposes of this Article, shares and the holders of shares shall be equated with depositary receipts for shares issued with the cooperation of the company and the holders of depositary receipts for shares issued with the cooperation of the company, respectively.

Dit artikel is van toepassing op een vennootschap waarvan aandelen zijn toegelaten tot de handel op een gereglementeerde markt of een multilaterale handelsfaciliteit als bedoeld in artikel 1:1 van de Wet op het financieel toezicht of een met een gereglementeerde markt of multilaterale handelsfaciliteit vergelijkbaar systeem uit een staat die geen lidstaat is en die geen gebruik maakt van de mogelijkheid bedoeld in artikel 359b lid 1 onderdeel a.

De vennootschap kan een bedenktijd inroepen in de volgende gevallen:

a.

indien een of meer houders van aandelen overeenkomstig artikel 114a dan wel op de voet van artikel 110 lid 1 of overeenkomstig de statuten van de vennootschap verzoekt om behandeling van een voorstel tot benoeming, schorsing of ontslag van een of meer bestuurders of commissarissen, of een voorstel tot wijziging van een of meer statutaire bepalingen die betrekking hebben op benoeming, schorsing of ontslag van bestuurders of commissarissen, dan wel

b.

indien een openbaar bod is aangekondigd of uitgebracht op aandelen in het kapitaal van de vennootschap zonder dat over het bod overeenstemming is bereikt met de vennootschap,

en het onder a bedoelde verzoek dan wel het onder b bedoelde bod naar het oordeel van het bestuur wezenlijk in strijd is met het belang van de vennootschap en de met haar verbonden onderneming.

Het met redenen omklede besluit van het bestuur tot het inroepen van de bedenktijd is onderworpen aan de goedkeuring van de raad van commissarissen, indien aanwezig.

Een of meer houders van aandelen die bij het inroepen van de bedenktijd gerechtigd zijn tot agendering ingevolge artikel 114a, kunnen de ondernemingskamer van het gerechtshof Amsterdam verzoeken om beëindiging van de bedenktijd. Artikel 349a lid 1 is met uitzondering van de eerste volzin van toepassing. De ondernemingskamer wijst het verzoek toe:

a.

wanneer het bestuur in het licht van de omstandigheden op het moment van het inroepen van de bedenktijd, niet in redelijkheid heeft kunnen oordelen dat het in lid 2 onder a bedoelde verzoek dan wel het in lid 2 onder b bedoelde bod wezenlijk in strijd is met het belang van de vennootschap en de met haar verbonden onderneming;

b.

wanneer het bestuur niet langer in redelijkheid kan oordelen dat het voortduren van de bedenktijd kan bijdragen aan een zorgvuldige beleidsbepaling; of

c.

wanneer gedurende de bedenktijd een of meer maatregelen actief zijn die naar aard, doel en strekking met de bedenktijd overeenkomen en deze maatregelen niet binnen redelijke termijn na een daartoe strekkend schriftelijk verzoek van deze houders van aandelen zijn beëindigd of opgeschort.

De bedenktijd geldt voor een termijn van ten hoogste tweehonderdvijftig dagen, gerekend vanaf de dag na de uiterste datum waarop overeenkomstig artikel 114a of de statuten van de vennootschap een verzoek als bedoeld in lid 2 onder a voor de eerstvolgende algemene vergadering moet zijn ontvangen dan wel gerekend vanaf uiterlijk de dag na de dag waarop het openbaar bod is uitgebracht als bedoeld in lid 2 onder b. Indien toepassing is gegeven aan artikel 111 vangt de bedenktijd aan op het moment waarop de voorzieningenrechter de verzochte machtiging heeft verleend. Het bestuur kan te allen tijde besluiten de bedenktijd eerder te beëindigen. Lid 3 is van overeenkomstige toepassing. De bedenktijd eindigt in ieder geval de dag na de gestanddoening van een openbaar bod. De grond voor het inroepen van de bedenktijd in een van de in lid 2 genoemde gevallen laat de mogelijkheid tot het inroepen van een bedenktijd op een andere grond onverlet.

Het inroepen van de bedenktijd heeft tot gevolg dat de bevoegdheid van de algemene vergadering bedoeld in de artikelen 121 lid 1, voor zover de statutenwijziging betrekking heeft op benoeming, schorsing of ontslag van bestuurders of commissarissen, 132 lid 1, 134 lid 1, 142 lid 1, 144 lid 1 en 161a lid 1 gedurende de bedenktijd is opgeschort, tenzij de vennootschap het voorstel tot benoeming, schorsing of ontslag van een bestuurder of commissaris bij de oproeping bedoeld in artikel 114 lid 1 onder a als punt ter stemming vermeldt.

Gedurende de bedenktijd vergaart het bestuur alle informatie die nodig is voor een zorgvuldige beleidsbepaling. Daartoe raadpleegt het bestuur in ieder geval de aandeelhouders die bij het inroepen van de bedenktijd tenminste drie honderdste gedeelte van het geplaatste kapitaal vertegenwoordigen en de ondernemingsraad. Indien de geraadpleegde aandeelhouders of de ondernemingsraad aan het bestuur een standpunt kenbaar hebben gemaakt, plaatst het bestuur dit standpunt onverwijld op de website van de vennootschap, voor zover de geraadpleegde partijen daarmee hebben ingestemd. Artikel 107a lid 4 is van overeenkomstige toepassing.

8.

Het bestuur doet verslag van het gevoerde beleid en de gang van zaken sinds het inroepen van de bedenktijd. Uiterlijk een week na de laatste dag van de bedenktijd legt de vennootschap het verslag voor de aandeelhouders ter inzage ten kantore van de vennootschap en plaatst zij het verslag op de website van de vennootschap.

9.

Het in lid 8 bedoelde verslag wordt bij de oproeping van de eerstvolgende algemene vergadering na het verstrijken van de bedenktijd vermeld als onderwerp ter bespreking.

10.

Voor de toepassing van dit artikel worden met aandelen en de houders van aandelen gelijkgesteld de certificaten van aandelen die met medewerking van de vennootschap zijn uitgegeven, respectievelijk de houders van de certificaten van aandelen die met medewerking van de vennootschap zijn uitgegeven.
