Article 2:112

If those who, pursuant to Article 109 of this Book or the articles of association, are authorised to convene a meeting, have failed to hold a general meeting prescribed by Article 108 or Article 108a of this Book or the articles of association, any shareholder may be authorised by the relief judge (voorzieningenrechter) of the court (de rechtbank) to proceed therewith himself. Article 110 paragraph 2 and Article 111 of this Book shall apply mutatis mutandis.
Indien zij, die krachtens artikel 109 van dit Boek of de statuten tot de bijeenroeping bevoegd zijn, in gebreke zijn gebleven een bij artikel 108 of artikel 108a van dit Boek of de statuten voorgeschreven algemene vergadering te doen houden, kan iedere aandeelhouder door de voorzieningenrechter van de rechtbank worden gemachtigd zelf daartoe over te gaan. Artikel 110 lid 2 en artikel 111 van dit Boek zijn van overeenkomstige toepassing.
