Article 2:107

1.
Within the limits set by the law and the articles of association, the general meeting shall have all powers that have not been granted to the board or to others.

The management board and the supervisory board shall provide it with all requested information, unless a compelling interest of the company opposes this.

Aan de algemene vergadering behoort, binnen de door de wet en de statuten gestelde grenzen, alle bevoegdheid, die niet aan het bestuur of aan anderen is toegekend.
2.
Het bestuur en de raad van commissarissen verschaffen haar alle verlangde inlichtingen, tenzij een zwaarwichtig belang der vennootschap zich daartegen verzet.
