Unless Article 44a, paragraph 1, has been implemented, the articles of association may provide that there shall be a supervisory board (raad van commissarissen). This board may also be designated as a board of supervisors (raad van toezicht). The board consists of one or more natural persons.
The supervisory board (raad van commissarissen) has the task of supervising the policy of the board of directors and the general course of affairs in the association and the business or organisation connected with it. It shall assist the board of directors with advice. In the performance of their task, the supervisory directors shall act in accordance with the interests of the association and the business or organisation connected with it.
Unless the articles of association provide otherwise, the supervisory board is authorised to suspend at any time any director appointed by the general meeting. This suspension may be lifted at any time by the general meeting.
The articles of association may provide that a supervisory director designated by name or by office is assigned more than one vote. A supervisory director may not cast more votes than the other supervisory directors combined.
The articles of association shall contain provisions regarding the manner in which the performance of duties and powers is provisionally provided for in the event of the vacancy (ontstentenis) or prevention (belet) of all supervisory directors. The articles of association may contain these provisions for the event of the vacancy or prevention of one or more supervisory directors. The articles of association may further specify when a situation of prevention exists. A person who, in the event of the vacancy or prevention of supervisory directors, performs the duties of a supervisory director pursuant to a provision in the articles of association, shall be equated with a supervisory director for the performance of those duties.
The articles of association may contain additional provisions regarding the duties and the powers of the board and its members.
A supervisory director shall not participate in the deliberations and decision-making process if he has a direct or indirect personal interest therein which conflicts with the interests of the association and the enterprise or organisation connected with it. When the supervisory board is unable to take a decision as a result thereof, the decision shall be taken by the general meeting, unless the articles of association provide otherwise.
Unless the articles of association provide otherwise, the general meeting may grant a remuneration to the supervisory directors as such.
Unless the articles of association grant voting rights to the supervisory directors, they shall, in their capacity as such, have an advisory vote in the general meeting.
The management board shall provide the supervisory board in a timely manner with the information necessary for the performance of its duties.
The board of directors shall, at least once a year, inform the supervisory board in writing of the main features of the strategic policy, the general and financial risks and the management and control systems used.
Tenzij uitvoering is gegeven aan artikel 44a lid 1, kan bij de statuten worden bepaald dat er een raad van commissarissen zal zijn. Deze kan ook als raad van toezicht worden aangeduid. De raad bestaat uit een of meer natuurlijke personen.
De raad van commissarissen heeft tot taak toezicht te houden op het beleid van het bestuur en de algemene gang van zaken in de vereniging en de met haar verbonden onderneming of organisatie. Hij staat het bestuur met raad terzijde. Bij de vervulling van hun taak richten de commissarissen zich naar het belang van de vereniging en de met haar verbonden onderneming of organisatie.
Tenzij bij de statuten anders is bepaald, is de raad van commissarissen bevoegd iedere door de algemene vergadering benoemde bestuurder te allen tijde te schorsen. Deze schorsing kan te allen tijde door de algemene vergadering worden opgeheven.
De statuten kunnen bepalen dat een met name of in functie aangeduide commissaris meer dan één stem wordt toegekend. Een commissaris kan niet meer stemmen uitbrengen dan de andere commissarissen tezamen.
De statuten bevatten voorschriften omtrent de wijze waarop in de uitoefening van de taken en bevoegdheden voorlopig wordt voorzien in geval van ontstentenis of belet van alle commissarissen. De statuten kunnen deze voorschriften bevatten voor het geval van ontstentenis of belet van een of meer commissarissen. In de statuten kan nader worden bepaald wanneer sprake is van belet. Degene die bij ontstentenis of belet van commissarissen ingevolge een statutaire regeling de taken van een commissaris vervult, wordt voor het vervullen van die taken met een commissaris gelijkgesteld.
De statuten kunnen aanvullende bepalingen omtrent de taak en de bevoegdheden van de raad en zijn leden bevatten.
Een commissaris neemt niet deel aan de beraadslaging en besluitvorming indien hij daarbij een direct of indirect persoonlijk belang heeft dat tegenstrijdig is met het belang van de vereniging en de daaraan verbonden onderneming of organisatie. Wanneer de raad van commissarissen hierdoor geen besluit kan nemen, wordt het besluit genomen door de algemene vergadering, tenzij de statuten anders bepalen.
Tenzij de statuten anders bepalen, kan de algemene vergadering aan de commissarissen als zodanig een bezoldiging toekennen.
Tenzij de statuten de commissarissen stemrecht toekennen, hebben zij als zodanig in de algemene vergadering een raadgevende stem.
Het bestuur verschaft de raad van commissarissen tijdig de voor de uitoefening van diens taak noodzakelijke gegevens.
Het bestuur stelt ten minste een keer per jaar de raad van commissarissen schriftelijk op de hoogte van de hoofdlijnen van het strategisch beleid, van de algemene en financiële risico’s en van de gebruikte beheers- en controlesystemen.
