A corporation which, pursuant to the agreement of incorporation or deed of incorporation, has its seat or, in the absence thereof, its centre of external operations at the time of incorporation, on the territory of the state under whose law it has been incorporated, is governed by the law of that state.
Een corporatie die ingevolge de oprichtingsovereenkomst of akte van oprichting haar zetel of, bij gebreke daarvan, haar centrum van optreden naar buiten ten tijde van de oprichting, heeft op het grondgebied van de staat naar welks recht zij is opgericht, wordt beheerst door het recht van die staat.
