The law applicable to a corporation governs, in addition to the incorporation, in particular the following matters:
the possession of legal personality, or of the capacity to be the bearer of rights and obligations, to perform juridical acts and to act in legal proceedings;
the internal organization of the corporation and all matters related thereto;
the power of bodies and officers of the corporation to represent it;
the liability of directors, supervisory directors and other officers as such towards the corporation;
the question who, in addition to the corporation, is liable for the acts by which the corporation is bound, by virtue of a particular capacity such as that of founder, partner, shareholder, member, director, supervisory director or other officer of the corporation;
the termination of the existence of the corporation.
Het op een corporatie toepasselijke recht beheerst naast de oprichting in het bijzonder de volgende onderwerpen:
het bezit van rechtspersoonlijkheid, of van de bevoegdheid drager te zijn van rechten en verplichtingen, rechtshandelingen te verrichten en in rechte op te treden;
het inwendig bestel van de corporatie en alle daarmee verband houdende onderwerpen;
de bevoegdheid van organen en functionarissen van de corporatie om haar te vertegenwoordigen;
de aansprakelijkheid van bestuurders, commissarissen en andere functionarissen als zodanig jegens de corporatie;
de vraag wie naast de corporatie, voor de handelingen waardoor de corporatie wordt verbonden, aansprakelijk is uit hoofde van een bepaalde hoedanigheid zoals die van oprichter, vennoot, aandeelhouder, lid, bestuurder, commissaris of andere functionaris van de corporatie;
de beëindiging van het bestaan van de corporatie.
