The establishment of works councils

The Council may, if special circumstances impede the proper application of this Act within the enterprise concerned, grant an entrepreneur, upon their request, a written exemption for a period of no more than five years from the obligation to establish a works council with respect to an enterprise maintained by them. The Council may grant such an exemption only if, with regard to the information provided to and the consultation of employees concerning the subjects mentioned in the sixth paragraph, provisions have been made by the entrepreneur to ensure that the seventh and eighth paragraphs are complied with.

The Council shall provide the associations of employees, as referred to in Article 9, paragraph 2, under a, the opportunity to be heard regarding the petition for exemption.

Conditions may be attached to an exemption.

4.

As long as no irrevocable decision has been rendered on a petition for exemption, the obligation referred to in Article 2, paragraph 1, shall not apply.

5.

For the purposes of this Article, the following definitions apply:

a.

information: the provision of data by the employer to the employees so that they may take cognizance of the subject matter and study it;

b.

consultation: the exchange of views and the establishment of a dialogue between the employees and the entrepreneur.

Information and consultation comprise:

a.

information regarding the recent and probable development of the activities and the economic situation of the company;

b.

information and consultation regarding the situation, the structure and the probable development of employment within the undertaking, as well as regarding any planned anticipatory measures, in particular in the event of a threat to employment;

c.

information and consultation regarding decisions that may entail significant changes to the work organization or the employment contracts.

The time and manner of the provision of information, as well as the content of the information, must be such that the employees are able to study the information adequately and, if necessary, prepare for the consultation.

8.

Consultation shall take place:

a.

at a time, by means and with a content that are appropriate;

b.

at the relevant level of management and representation, depending on the subject matter to be discussed;

c.

on the basis of the information to be provided by the entrepreneur and the advice that the employees may issue;

d.

in such a manner that the employees are able to meet with the entrepreneur and receive a reasoned response to their advice;

e.

with the aim of reaching an agreement on the decisions referred to in the sixth paragraph, under (c), which fall under the powers of the entrepreneur.

De Raad kan, indien bijzondere omstandigheden een goede toepassing van deze wet in de betrokken onderneming in de weg staan, aan een ondernemer op diens verzoek ten aanzien van een door hem in stand gehouden onderneming schriftelijk voor ten hoogste vijf jaren ontheffing verlenen van de verplichting tot het instellen van een ondernemingsraad. De Raad kan een dergelijke ontheffing uitsluitend verlenen indien voor wat betreft de informatie aan en de raadpleging van werknemers over de in het zesde lid genoemde onderwerpen door de ondernemer voorzieningen zijn getroffen om te waarborgen dat wordt voldaan aan het zevende en achtste lid.

De Raad stelt de verenigingen van werknemers, bedoeld in artikel 9, tweede lid, onder a, in de gelegenheid over het verzoek om ontheffing te worden gehoord.

Aan een ontheffing kunnen voorschriften worden verbonden.

4.

Zolang op een verzoek om ontheffing niet onherroepelijk is beslist, geldt de in artikel 2, eerste lid, bedoelde verplichting niet.

5.

In dit artikel wordt verstaan onder:

a.

informatie: het verstrekken van gegevens door de ondernemer aan de werknemers opdat zij kennis kunnen nemen van het onderwerp en het kunnen bestuderen;

b.

raadpleging: de gedachtewisseling en de totstandbrenging van een dialoog tussen de werknemers en de ondernemer.

Informatie en raadpleging behelzen:

a.

informatie over de recente en de waarschijnlijke ontwikkeling van de activiteiten en de economische situatie van de onderneming;

b.

informatie en raadpleging over de situatie, de structuur en de waarschijnlijke ontwikkeling van de werkgelegenheid binnen de onderneming, alsmede over eventuele geplande anticiperende maatregelen met name in geval van bedreiging van de werkgelegenheid;

c.

informatie en raadpleging over beslissingen die ingrijpende veranderingen voor de arbeidsorganisatie of de arbeidsovereenkomsten kunnen meebrengen.

7.

Het tijdstip en de wijze van informatieverstrekking alsmede de inhoud van de informatie moeten zodanig zijn dat de werknemers de informatie adequaat kunnen bestuderen en zo nodig de raadpleging kunnen voorbereiden.

8.

Raadpleging geschiedt:

a.

op een tijdstip, met middelen en met een inhoud die passend zijn;

b.

op het relevante niveau van directie en vertegenwoordiging, afhankelijk van het te bespreken onderwerp;

c.

op basis van de door de ondernemer te verstrekken informatie en van het advies dat de werknemers kunnen uitbrengen;

d.

op zodanige wijze dat de werknemers met de ondernemer kunnen samenkomen en een met redenen omkleed antwoord op hun advies kunnen krijgen;

e.

met het doel een akkoord te bereiken over de in het zesde lid, onder c, bedoelde beslissingen, die onder de bevoegdheden van de ondernemer vallen.
