in forceWithout prejudice to paragraph 2, Article 10 of Book 2 of the Civil Code applies mutatis mutandis to a formally foreign company. The obligations referred to therein rest upon the directors of the company.
The directors are obliged to draw up annual accounts and a management report annually within five months after the end of the financial year, subject to an extension of this term by a maximum of six months pursuant to a resolution of the competent body adopted on the grounds of special circumstances. Title 9 of Book 2 of the Civil Code applies mutatis mutandis to the annual accounts, the management report and the other information, on the understanding that the publication pursuant to Article 394 of that Book is effected by filing with the Commercial Register.
The directors are obliged each calendar year before 1 April of that year to deposit at the office of the Commercial Register proof of registration in the register where the company must be registered pursuant to the law applicable to it. The proof may not have been issued earlier than four weeks before the date of deposit.
Onverminderd het tweede lid is op een formeel buitenlandse vennootschap artikel 10 van boek 2 van het Burgerlijk Wetboek van overeenkomstige toepassing. De daarin bedoelde verplichtingen rusten op de bestuurders van de vennootschap.
De bestuurders zijn verplicht jaarlijks binnen vijf maanden na afloop van het boekjaar, behoudens verlenging van deze termijn met ten hoogste zes maanden krachtens een bevoegd, op grond van bijzondere omstandigheden genomen besluit, een jaarrekening en een bestuursverslag op te maken. Op de jaarrekening, het bestuursverslag en de overige gegevens is titel 9 van boek 2 van het Burgerlijk Wetboek van overeenkomstige toepassing, met dien verstande dat de openbaarmaking ingevolge artikel 394 van dat boek geschiedt door deponering bij het handelsregister.
De bestuurders zijn verplicht ieder kalenderjaar vóór 1 april van dat jaar ten kantore van het handelsregister neer te leggen een bewijs van inschrijving in het register waar de vennootschap krachtens het op haar toepasselijke recht moet zijn ingeschreven. Het bewijs mag niet eerder dan vier weken voor de datum van nederlegging zijn afgegeven.
