The appointment of the members of the management body shall be effected by the supervisory body, unless the articles of association provide that the appointment is to be effected by the general meeting.
For the application of Article 37, paragraph 2, of the Regulation, paragraphs 2, 4, 5 and 6 of Article 37 of Book 2 of the Civil Code shall apply mutatis mutandis to the European Cooperative Society with its statutory seat in the Netherlands.
De benoeming van de leden van het leidinggevend orgaan geschiedt door het toezichthoudend orgaan, tenzij in de statuten is bepaald dat benoeming geschiedt door de algemene vergadering.
Voor de toepassing van artikel 37, tweede lid, van de Verordening zijn de leden 2, 4, 5 en 6 van artikel 37 van Boek 2 van het Burgerlijk Wetboek van overeenkomstige toepassing op de Europese coöperatieve vennootschap met statutaire zetel in Nederland.
