The cooperative with its statutory seat in the Netherlands that has drawn up a proposal for conversion into a European Cooperative Society in accordance with Article 35 of the Regulation, shall deposit the proposal at the office of the Trade Register and announce the deposit in a nationally distributed daily newspaper. An auditor as referred to in Article 393, paragraph 1, of Book 2 of the Civil Code shall, prior to the general meeting, determine that the proposal for conversion complies with the provisions of Article 22, paragraph 1, under b, of the Regulation.
De coöperatie met statutaire zetel in Nederland die overeenkomstig artikel 35 van de Verordening een voorstel tot omzetting in een Europese coöperatieve vennootschap heeft opgesteld, legt het voorstel neer ten kantore van het handelsregister en kondigt de nederlegging aan in een landelijk verspreid dagblad. Een accountant als bedoeld in artikel 393 lid 1 van Boek 2 van het Burgerlijk Wetboek stelt, voorafgaand aan de algemene vergadering, vast dat het voorstel tot omzetting voldoet aan het bepaalde in artikel 22, eerste lid, onder b, van de Verordening.
