in forceIf the amendment has been effected and has entered into force without the application of Article 4, paragraph 1, the company or one of those who are authorised to amend pursuant to Article 1, or a person designated for that purpose in the deed referred to in Article 2, shall send a petition for ratification of the amendment to Our Minister of Justice of the part of the Kingdom to which the registered office of the company has been transferred. The petition must be submitted within four weeks after the entry into force of the amendment to one of Our Ministers of Justice or to one of Our diplomatic missions abroad. The documents referred to in Article 4, paragraph 3, under a, c and d, shall be submitted with the petition.
The amendment shall lose its legal force by operation of law as of the moment at which ratification is refused, or the requirement of the first paragraph has not been complied with. If ratification of a part of the amendment is refused, it shall lose its legal force only in respect of that part.
If the ratification of the amendment is refused in its entirety, the authority of the directors who have been appointed in accordance with Article 1, paragraph 8, shall terminate as of the time at which the refusal of the ratification is made public.
Indien de wijziging tot stand is gebracht en in werking is getreden zonder toepassing van artikel 4, eerste lid, zendt de vennootschap of een dergenen die krachtens artikel 1 tot wijziging bevoegd zijn, dan wel een daartoe in de akte, bedoeld in artikel 2, aangewezen persoon, een verzoek om bekrachtiging van de wijziging tot Onze Minister van Justitie van het deel van het Koninkrijk, waarheen de plaats van vestiging der vennootschap is overgebracht. Het verzoekschrift moet binnen vier weken na de inwerkingtreding der wijziging worden ingediend bij een Onzer Ministers van Justitie of bij een Onzer diplomatieke vertegenwoordigingen in het buitenland. Bij het verzoek worden de in artikel 4, derde lid, onder a, c en d, bedoelde stukken overgelegd.
De wijziging verliest van rechtswege haar kracht met ingang van het tijdstip, waarop de bekrachtiging wordt geweigerd, dan wel het voorschrift van het eerste lid niet is in acht genomen. Wordt de bekrachtiging van een gedeelte der wijziging geweigerd, dan verliest deze alleen voor dit gedeelte haar kracht.
Indien de bekrachtiging van de wijziging in haar geheel wordt geweigerd, eindigt de bevoegdheid der bestuurders, die overeenkomstig artikel 1, achtste lid, zijn benoemd, met ingang van het tijdstip, waarop de weigering van de bekrachtiging is bekendgemaakt.
