The NPO, the RPO, the national and regional public media institutions, and the institutions designated by Our Minister for the maintenance and operation of broadcasting orchestras and broadcasting choirs, of a media archive, and of an expertise centre for media education, shall structure their administrative organisation in such a way that, in accordance with their articles of association and regulations:
the arrangement thereof is sober, functional and balanced;
there is a clear distinction between the daily management and the supervisory body;
proper, independent and expert supervision is exercised; and
The members of the supervisory body shall be appointed on the basis of pre-established public profiles.
The NPO and the national public media institutions shall, in doing so, follow as much as possible the recommendations from the code of conduct referred to in Article 2.3, paragraph 2.
The national public media institution that is a collaborative broadcaster shall ensure that the broadcasting associations it represents act in accordance with the first and second paragraphs.
By Order in Council, further rules may be prescribed defining what constitutes a modest, efficient and balanced structure as referred to in the first paragraph, under (a).
De NPO, de RPO, de landelijke en regionale publieke media-instellingen en de instellingen die door Onze Minister zijn aangewezen voor het in stand houden en exploiteren van omroeporkesten en omroepkoren, van een media-archief en van een expertisecentrum voor media-educatie, richten hun bestuurlijke organisatie zodanig in dat overeenkomstig hun statuten en reglementen:
de inrichting daarvan sober, doelmatig en evenwichtig is;
er een helder onderscheid is tussen het dagelijks bestuur en het toezichthoudende orgaan;
deugdelijk, onafhankelijk en deskundig toezicht wordt uitgeoefend; en
de leden van het toezichthoudende orgaan worden benoemd op basis van vooraf vastgestelde openbare profielen.
De NPO en de landelijke publieke media-instellingen volgen daarbij zo veel als mogelijk aanbevelingen uit de gedragscode, bedoeld in artikel 2.3, tweede lid.
De landelijke publieke media-instelling die samenwerkingsomroep is, draagt ervoor zorg dat de omroepverenigingen die hij vertegenwoordigt, overeenkomstig het eerste en tweede lid handelen.
Bij algemene maatregel van bestuur kan nader worden omschreven wanneer sprake is van een sobere, doelmatige en evenwichtige inrichting als bedoeld in het eerste lid, onder a.
