The supervisory board of the RPO consists of a chair and at most four other members who are appointed, suspended, and dismissed by Royal Decree upon the recommendation of Our Minister.
In the event of a vacancy, the supervisory board shall draw up profile sketches for the vacancy and for the board as a whole, regarding which it shall, in any event, provide the board of the RPO and the joint works councils of the regional public media institutions the opportunity to provide their views within a reasonable period.
After having considered the views, the supervisory board shall adopt the profile descriptions and make them public.
For the selection of candidates, the supervisory board shall establish an independent appointment advisory committee. The appointment advisory committee shall advise the supervisory board.
The supervisory board shall provide a weighty advice to Our Minister regarding the nomination referred to in the first paragraph.
The advice referred to in the fifth paragraph shall be reasoned, whereby in any event the suitability, the profile sketches, the position of the candidate in the rotation schedule for retirement, and the procedure that led to the advice shall be addressed.
Our Minister shall adopt the advice, unless it is in conflict with:
this Act;
due care requirements; or
other compelling interests.
If Our Minister does not follow the advice, he shall, stating his reasons in writing, request the supervisory board to ensure that a new advice is reached and shall inform the House of Representatives that an advice has not been followed and the grounds for this.
For the purpose of supporting the drafting of the profile descriptions by the supervisory board and the selection of candidates by the appointment advisory committee, the supervisory board shall engage a recruitment consultancy firm.
The joint works councils of the regional public media institutions may recommend persons to the appointment advisory committee for the appointment of one of the other members as referred to in the first paragraph.
Appointment shall be for a term of five years, and reappointment for a consecutive period is possible once.
De raad van toezicht van de RPO bestaat uit een voorzitter en ten hoogste vier andere leden die op voordracht van Onze Minister bij koninklijk besluit worden benoemd, geschorst en ontslagen.
Bij een vacature stelt de raad van toezicht profielschetsen voor de vacature en voor de raad als geheel op waarover hij in ieder geval het bestuur van de RPO en de gezamenlijke ondernemingsraden van de regionale publieke media-instellingen in de gelegenheid stelt binnen een redelijke termijn zienswijzen te geven.
Na betrekking van de zienswijzen stelt de raad van toezicht de profielschetsen vast en maakt deze openbaar.
Voor de selectie van kandidaten stelt de raad van toezicht een onafhankelijke benoemingsadviescommissie in. De benoemingsadviescommissie adviseert de raad van toezicht.
De raad van toezicht geeft een zwaarwegend advies aan Onze Minister voor de voordracht, bedoeld in het eerste lid.
Het advies, bedoeld in het vijfde lid, is gemotiveerd, waarbij in elk geval wordt ingegaan op de geschiktheid, de profielschetsen, de positie van de kandidaat in het rooster van aftreden en de procedure die heeft geleid tot het advies.
Onze Minister neemt het advies over, tenzij het in strijd is met:
deze wet;
eisen van zorgvuldigheid; of
andere zwaarwegende belangen.
Indien Onze Minister het advies niet overneemt, verzoekt hij onder opgave van een schriftelijke motivering de raad van toezicht ervoor te zorgen dat tot een nieuw advies wordt gekomen en informeert hij de Tweede Kamer dat een advies niet is overgenomen en de grond hiervoor.
Ten behoeve van de ondersteuning bij het opstellen van de profielschetsen door de raad van toezicht en de selectie van kandidaten door de benoemingsadviescommissie, schakelt de raad van toezicht een wervingsadviesbureau in.
De gezamenlijke ondernemingsraden van de regionale publieke media-instellingen kunnen voor benoeming van een van de andere leden als bedoeld in het eerste lid, personen aanbevelen aan de benoemingsadviescommissie.
Benoeming geschiedt voor vijf jaar en herbenoeming voor een aansluitende periode is eenmaal mogelijk.
