Upon the claim of a legal person as referred to in paragraph 3, certain clauses in certain general terms and conditions may be declared unreasonably onerous; Articles 233 under (a), 236 and 237 shall apply mutatis mutandis. For the application of the preceding sentence, a clause in general terms and conditions that is in conflict with a mandatory provision of law shall be deemed unreasonably onerous. In the assessment of a clause, the rule of interpretation of Article 238, paragraph 2, second sentence, shall remain inapplicable.
The action may be brought against the user, as well as against a legal person with full legal capacity whose object is the protection of the interests of persons exercising a profession or business, if it promotes the use of the general terms and conditions by those persons.
The right of action belongs to legal persons with full legal capacity whose objective is to protect the interests of persons who exercise a profession or business or of end-users of goods or services not intended for a profession or business. It may only relate to general terms and conditions which are used or intended to be used in contracts with persons whose interests are protected by the legal person.
The claimant is inadmissible if it does not appear that, prior to instituting the claim, he has provided the user or, in the case referred to in Article 1003 of the Code of Civil Procedure, the association referred to therein, the opportunity to amend the general terms and conditions by mutual consultation in such a manner that the objections which would constitute grounds for the claim are removed. A period of two weeks after the receipt of a request for consultation stating the objections is in any event sufficient for this purpose.
Insofar as a legal person has consented to the use of clauses in general terms and conditions, it shall not be entitled to a claim as referred to in paragraph 1.
An organisation or public body with its seat outside the Netherlands which is included in the list referred to in Article 5, paragraph 1, of Directive (EU) 2020/1828 of the European Parliament and of the Council of 25 November 2020 on representative actions for the protection of the collective interests of consumers and repealing Directive 2009/22/EC (OJ L 409, 2020), shall be equated with a legal person as referred to in paragraph 3, provided that the claim relates to general terms and conditions that are used or intended to be used in contracts with persons who have their habitual residence in the country where the organisation or public body has its seat, and the organisation promotes these interests pursuant to its objects or the public body is entrusted with the promotion of these interests.
Op vordering van een rechtspersoon als bedoeld in lid 3 kunnen bepaalde bedingen in bepaalde algemene voorwaarden onredelijk bezwarend worden verklaard; de artikelen 233 onder a, 236 en 237 zijn van overeenkomstige toepassing. Voor de toepassing van de vorige zin wordt een beding in algemene voorwaarden dat in strijd is met een dwingende wetsbepaling, als onredelijk bezwarend aangemerkt. Bij de beoordeling van een beding blijft de uitlegregel van artikel 238 lid 2, tweede zin, buiten toepassing.
De vordering kan worden ingesteld tegen de gebruiker, alsmede tegen een rechtspersoon met volledige rechtsbevoegdheid die ten doel heeft de behartiging van de belangen van personen die een beroep of bedrijf uitoefenen, indien hij het gebruik van de algemene voorwaarden door die personen bevordert.
De vordering komt toe aan rechtspersonen met volledige rechtsbevoegdheid die ten doel hebben de behartiging van belangen van personen die een beroep of bedrijf uitoefenen of van eindgebruikers van niet voor een beroep of bedrijf bestemde goederen of diensten. Zij kan slechts betrekking hebben op algemene voorwaarden die worden gebruikt of bestemd zijn te worden gebruikt in overeenkomsten met personen wier belangen door de rechtspersoon worden behartigd.
De eiser is niet ontvankelijk indien niet blijkt dat hij, alvorens de vordering in te stellen, de gebruiker of, in het geval bedoeld in artikel 1003 van het Wetboek van Burgerlijke Rechtsvordering, de aldaar bedoelde vereniging, de gelegenheid heeft geboden om in onderling overleg de algemene voorwaarden zodanig te wijzigen dat de bezwaren die grond voor de vordering zouden opleveren, zijn weggenomen. Een termijn van twee weken na de ontvangst van een verzoek tot overleg onder vermelding van de bezwaren, is daartoe in elk geval voldoende.
Voor zover een rechtspersoon met het gebruik van bedingen in algemene voorwaarden heeft ingestemd, komt hem geen vordering als bedoeld in lid 1 toe.
Met een rechtspersoon als bedoeld in lid 3 wordt gelijk gesteld een organisatie of openbaar lichaam met zetel buiten Nederland welke geplaatst is op de lijst, bedoeld in artikel 5, eerste lid, van Richtlijn (EU) 2020/1828 van het Europees Parlement en de Raad van 25 november 2020 betreffende representatieve vorderingen ter bescherming van de collectieve belangen van consumenten en tot intrekking van Richtlijn 2009/22/EG (PbEU 2020, L 409), mits de vordering betrekking heeft op algemene voorwaarden die worden gebruikt of bestemd zijn te worden gebruikt in overeenkomsten met personen die hun gewone verblijfplaats hebben in het land waar de organisatie of het openbaar lichaam gezeteld is, en de organisatie deze belangen ingevolge haar doelstelling behartigt of aan het openbaar lichaam de behartiging van deze belangen is toevertrouwd.
