For the resolution on a demerger by the general meeting, a majority of at least two-thirds shall be required in any event if less than one-half of the issued capital is represented at the meeting.
If there are shares of a particular class or designation, there shall be required, in addition to the resolution to split of the general meeting, a prior or simultaneous approving resolution of each group of holders of shares of the same class or designation whose rights are prejudiced by the split. Article 231 paragraph 4 shall not apply with respect to a resolution to split. Approval may only take place after the expiry of one month from the day on which all parties to the split have announced the filing or disclosure of the proposal for the split.
The minutes of the general meetings in which the division is resolved upon or in which it is approved pursuant to paragraph 2, shall be drawn up by notarial deed.
Voor het besluit tot splitsing van de algemene vergadering is in elk geval een meerderheid van ten minste twee derden vereist, indien minder dan de helft van het geplaatste kapitaal ter vergadering is vertegenwoordigd.
Zijn er aandelen van een bepaalde soort of aanduiding, dan is er naast het besluit tot splitsing van de algemene vergadering vereist een voorafgaand of gelijktijdig goedkeurend besluit van elke groep houders van aandelen van een zelfde soort of aanduiding aan wier rechten de splitsing afbreuk doet. Artikel 231 lid 4 is niet van toepassing ten aanzien van een besluit tot splitsing. Goedkeuring kan eerst geschieden na verloop van een maand na de dag waarop alle partijen bij de splitsing de nederlegging of openbaarmaking van het voorstel tot splitsing hebben aangekondigd.
De notulen van de algemene vergaderingen waarin tot splitsing wordt besloten of waarin deze ingevolge lid 2 wordt goedgekeurd, worden opgemaakt bij notariële akte.
