Article 2:157

A company to which Article 154 of this Book does not apply may, by its articles of association, regulate the manner of appointment and dismissal of supervisory directors and the duties and powers of the supervisory board in accordance with Articles 158-164 of this Book, provided that it or a dependent company has established a works council to which the provisions of the Works Councils Act (Wet op de ondernemingsraden) apply. In doing so, it may leave Article 162 inapplicable. The regulation in the articles of association referred to in this paragraph shall cease to have effect as soon as the works council ceases to exist or the provisions of the Works Councils Act are no longer applicable to the works council.
A company to which Article 155 or 155a applies may regulate the power to appoint and dismiss directors in accordance with Article 162.
Een vennootschap waarvoor artikel 154 van dit Boek niet geldt, kan bij haar statuten de wijze van benoeming en ontslag van commissarissen en de taak en bevoegdheden van de raad van commissarissen regelen overeenkomstig de artikelen 158-164 van dit Boek indien zij of een afhankelijke maatschappij een ondernemingsraad heeft ingesteld waarop de bepalingen van de Wet op de ondernemingsraden van toepassing zijn. Zij mag daarbij artikel 162 buiten toepassing laten. De in dit lid bedoelde regeling in de statuten verliest haar gelding zodra de ondernemingsraad ophoudt te bestaan of op de ondernemingsraad niet langer de bepalingen van de Wet op de ondernemingsraden van toepassing zijn.
Een vennootschap waarvoor artikel 155 of 155a geldt, kan de bevoegdheid tot benoeming en ontslag van bestuurders regelen overeenkomstig artikel 162.
