Unless otherwise provided by the articles of association, the board of directors is not authorised to file a petition for the bankruptcy of the public limited company (naamloze vennootschap) without an instruction from the general meeting.
Tenzij bij de statuten anders is bepaald, is het bestuur zonder opdracht der algemene vergadering niet bevoegd aangifte te doen tot faillietverklaring van de naamloze vennootschap.
