A supervisory director (commissaris) shall step down at the latest when he has been a supervisory director for four years after his last appointment. The term may be extended by the articles of association until the day of the next general meeting following the end of the four years or after the day on which this article became applicable to the legal person.
The Enterprise Chamber of the Amsterdam Court of Appeal may, upon petition, dismiss a supervisory director on the grounds of neglect of duty, other compelling reasons, or a significant change in circumstances as a result of which the legal entity cannot reasonably be required to retain the supervisory director. The petition may be submitted by a representative designated for that purpose by the supervisory board, by the general meeting, or by the works council. Article 63f, paragraph 11, shall apply mutatis mutandis.
A member of the supervisory board (commissaris) may only be suspended by the supervisory board. The suspension shall lapse by operation of law if a petition (verzoek) as referred to in paragraph 2 has not been submitted to the Enterprise Chamber (ondernemingskamer) within one month after the commencement of the suspension.
Een commissaris treedt uiterlijk af, indien hij na zijn laatste benoeming vier jaren commissaris is geweest. De termijn kan bij de statuten worden verlengd tot de dag van de eerstvolgende algemene vergadering na afloop van de vier jaren of na de dag waarop dit artikel voor de rechtspersoon is gaan gelden.
De ondernemingskamer van het gerechtshof Amsterdam kan op verzoek een commissaris ontslaan wegens verwaarlozing van zijn taak, wegens andere gewichtige redenen of wegens ingrijpende wijziging van de omstandigheden op grond waarvan handhaving van de commissaris redelijkerwijs niet van de rechtspersoon kan worden verlangd. Het verzoek kan worden ingediend door een vertegenwoordiger, daartoe aangewezen door de raad van commissarissen, door de algemene vergadering of door de ondernemingsraad. Artikel 63f lid 11 is van overeenkomstige toepassing.
Een commissaris kan slechts worden geschorst door de raad van commissarissen. De schorsing vervalt van rechtswege, indien niet binnen een maand na de aanvang der schorsing een verzoek als bedoeld in lid 2 is ingediend bij de ondernemingskamer.
