A cooperative or a mutual insurance society (onderlinge waarborgmaatschappij) to which Article 63c does not apply, may, by its articles of association, regulate the manner of appointment and dismissal of supervisory directors and the duties and powers of the supervisory board in accordance with Articles 63f to 63j inclusive, if it or a dependent company has established a works council to which the provisions of the Works Councils Act (Wet op de ondernemingsraden) apply. This regulation in the articles of association shall cease to have effect as soon as the works council ceases to exist or the provisions of the Works Councils Act no longer apply to that council.
Een coöperatie of onderlinge waarborgmaatschappij waarvoor artikel 63c niet geldt, kan bij haar statuten de wijze van benoeming en ontslag van commissarissen en de taak en bevoegdheden van de raad van commissarissen regelen overeenkomstig de artikelen 63f tot en met 63j, indien zij of een afhankelijke maatschappij een ondernemingsraad heeft ingesteld waarop de bepalingen van de Wet op de ondernemingsraden van toepassing zijn. Deze regeling in de statuten verliest haar gelding zodra de ondernemingsraad ophoudt te bestaan of op die raad niet langer de bepalingen van de Wet op de ondernemingsraden van toepassing zijn.
