The supervisory board of the NOS consists of five or seven members who are appointed by Our Minister upon a weighty nomination by the supervisory board and who may be suspended and dismissed by Our Minister.
The supervisory board shall appoint the chairperson from among its members.
Appointment shall be for a period of four years, and reappointment for a consecutive period is possible once.
The supervisory board shall be composed in such a manner that administrative experience and expertise in the fields relevant to the media offering provided by the NOS are present.
In the event of a vacancy, the supervisory board shall be responsible for the procedure leading to the nomination referred to in the first paragraph. In any event, the drafting and publication of profile descriptions for the vacancy and for the board as a whole shall form part of that procedure.
The nomination by the supervisory board to Our Minister shall be substantiated, whereby in any event the suitability, the profile descriptions, the position of the candidate in the rotation schedule for retirement, and the procedure that led to the nomination shall be addressed.
Our Minister shall adopt the nomination, unless it is in conflict with:
this Act;
due care requirements; or
other compelling interests.
De raad van toezicht van de NOS bestaat uit vijf of zeven leden die op zwaarwegende voordracht van de raad van toezicht door Onze Minister worden benoemd en die door Onze Minister kunnen worden geschorst en ontslagen.
De raad van toezicht wijst uit zijn midden de voorzitter aan.
Benoeming geschiedt voor een periode van vier jaar en herbenoeming voor een aansluitende periode is eenmaal mogelijk.
De raad van toezicht wordt zodanig samengesteld dat bestuurlijke ervaring en deskundigheid op de terreinen die relevant zijn voor het media-aanbod dat de NOS verzorgt, aanwezig zijn.
Bij een vacature draagt de raad van toezicht zorg voor de procedure die leidt tot de voordracht, bedoeld in het eerste lid. In elk geval het opstellen en het openbaar maken van profielschetsen voor de vacature en voor de raad als geheel zijn onderdeel van die procedure.
De voordracht van de raad van toezicht aan Onze Minister is gemotiveerd, waarbij in elk geval wordt ingegaan op de geschiktheid, de profielschetsen, de positie van de kandidaat in het rooster van aftreden en de procedure die heeft geleid tot de voordracht.
Onze Minister neemt de voordracht over, tenzij deze in strijd is met:
deze wet;
eisen van zorgvuldigheid; of
andere zwaarwegende belangen.
