Where the articles of association refer to the holders of as many shares as together constitute a certain part of the authorised capital (maatschappelijk kapitaal) of the company, capital shall be understood to mean the issued part of the authorised capital, unless the contrary appears from the articles of association.
Wanneer in de statuten wordt gesproken van de houders van zoveel aandelen als tezamen een zeker gedeelte van het maatschappelijk kapitaal der vennootschap uitmaken, wordt, tenzij het tegendeel uit de statuten blijkt, onder kapitaal verstaan het geplaatste gedeelte van het maatschappelijk kapitaal.
