An investment company with variable capital is understood to mean a public limited company (naamloze vennootschap),
the sole purpose of which is to invest its assets in such a manner that the risks thereof are spread, in order to allow its shareholders to share in the proceeds,
of which the board is authorised by virtue of the articles of association to issue, acquire and alienate shares in its capital,
for which an authorisation or a declaration of under supervision (verklaring van ondertoezichtstelling) has been granted to a manager as referred to in the Financial Supervision Act (Wet op het financieel toezicht) for the placement of its shares, and
of which the articles of association provide that the company is an investment company with variable capital.
The company shall notify the trade register and the Stichting Autoriteit Financiële Markten (Netherlands Authority for the Financial Markets) that it is an investment company with variable capital. These words must also be clearly stated alongside its name in all writings, printed documents, and announcements in which the investment company with variable capital is a party or which originate from it, with the exception of telegrams and advertisements.
Onder beleggingsmaatschappij met veranderlijk kapitaal wordt verstaan een naamloze vennootschap,
die uitsluitend ten doel heeft haar vermogen zodanig te beleggen dat de risico’s daarvan worden gespreid, ten einde haar aandeelhouders in de opbrengst te doen delen,
waarvan het bestuur krachtens de statuten bevoegd is aandelen in haar kapitaal uit te geven, te verwerven en te vervreemden,
waarvoor aan een beheerder een vergunning of verklaring van ondertoezichtstelling is verleend als bedoeld in de Wet op het financieel toezicht voor plaatsing van haar aandelen, en
waarvan de statuten bepalen dat de vennootschap beleggingsmaatschappij met veranderlijk kapitaal is.
De vennootschap doet aan het handelsregister en aan de Stichting Autoriteit Financiële Markten opgave dat zij een beleggingsmaatschappij met veranderlijk kapitaal is. Deze woorden moeten ook in alle geschriften, gedrukte stukken en aankondigingen, waarin de beleggingsmaatschappij met veranderlijk kapitaal partij is of die van haar uitgaan, met uitzondering van telegrammen en reclames, duidelijk bij haar naam worden vermeld.
