Article 2:123

When a proposal to amend the articles of association is to be made to the general meeting, this must always be stated in the notice convening the general meeting.
Those who have issued such a notice of meeting must simultaneously deposit a copy of that proposal, in which the proposed amendment is set forth verbatim, at the office of the company for inspection by every shareholder until the conclusion of the meeting. Article 114 paragraph 2 shall apply mutatis mutandis.
The shareholders must be given the opportunity to obtain a copy of the proposal, as referred to in the previous paragraph, from the day of the deposit until the day of the general meeting. These copies shall be provided free of charge.
The provisions of this article relating to shareholders shall apply mutatis mutandis to holders of depositary receipts for shares issued with the cooperation of the company.
Wanneer aan de algemene vergadering een voorstel tot wijziging van de statuten zal worden gedaan, moet zulks steeds bij de oproeping tot de algemene vergadering worden vermeld.
Degenen die zodanige oproeping hebben gedaan, moeten tegelijkertijd een afschrift van dat voorstel waarin de voorgedragen wijziging woordelijk is opgenomen, ten kantore van de vennootschap nederleggen ter inzage voor iedere aandeelhouder tot de afloop der vergadering. Artikel 114 lid 2 is van overeenkomstige toepassing.
De aandeelhouders moeten in de gelegenheid worden gesteld van de dag der nederlegging tot die der algemene vergadering een afschrift van het voorstel, gelijk bij het vorige lid bedoeld, te verkrijgen. Deze afschriften worden kosteloos verstrekt.
Hetgeen in dit artikel met betrekking tot aandeelhouders is bepaald, is van overeenkomstige toepassing op houders van met medewerking der vennootschap uitgegeven certificaten van aandelen.
