If all supervisory directors are missing, the works council and the board of directors may recommend persons to the general meeting for appointment as supervisory director. The person who convenes the general meeting shall notify the works council and the board of directors in a timely manner that the appointment of supervisory directors will be a subject of discussion.
The appointment shall be effective, unless the works council, within two months after having been notified of the name of the appointed person in accordance with Article 63f paragraph 5, lodges an objection with the legal person in accordance with Article 63f paragraph 6. Notwithstanding this objection, the appointment shall become effective if the Enterprise Chamber of the Amsterdam Court of Appeal (ondernemingskamer van het gerechtshof Amsterdam), upon petition of a representative designated for that purpose by the general meeting, declares the objection unfounded.
Paragraphs 10 and 11 of Article 63f shall apply mutatis mutandis.
Ontbreken alle commissarissen, dan kunnen de ondernemingsraad en het bestuur personen voor benoeming tot commissaris aanbevelen aan de ledenvergadering. Degene die de algemene vergadering bijeenroept, deelt de ondernemingsraad en het bestuur tijdig mede dat de benoeming van commissarissen onderwerp van behandeling zal zijn.
De benoeming is van kracht, tenzij de ondernemingsraad binnen twee maanden na overeenkomstig artikel 63f lid 5 in kennis te zijn gesteld van de naam van de benoemde persoon, overeenkomstig artikel 63f lid 6 bij de rechtspersoon bezwaar maakt. Niettegenstaande dit bezwaar wordt de benoeming van kracht, indien de ondernemingskamer van het gerechtshof Amsterdam op verzoek van een daartoe door de algemene vergadering aangewezen vertegenwoordiger het bezwaar ongegrond verklaart.
De leden van 10 en 11 van artikel 63f zijn van overeenkomstige toepassing.
