The articles of association of a pension fund shall in any event include provisions concerning:
the objects of the pension fund, including a description of the scope of its activities;
the destination of the resources of the pension fund;
the management of the pension fund;
the income of the pension fund;
the investment of the funds;
the governance model of the pension fund, as referred to in Article 99;
the manner in which the directors are appointed and dismissed;
the manner in which the internal supervision is organised;
the manner in which the members of the supervisory board or the visitation committee are appointed and dismissed;
the manner in which the members of the accountability body or the stakeholder body are appointed and dismissed;
the amendment of the articles of association;
the liquidation of the pension fund, including the obligations of the liquidators and the destination of the assets of the pension fund; and
the application of Article 105, paragraph 3.
The description of the scope of application, as referred to in paragraph 1, subparagraph (a), shall be effected with respect to an industry-wide pension fund by means of a description of the business activities of the industry.
An industry-wide pension fund that offers employers the possibility to join voluntarily shall determine in its articles of association the conditions under which such voluntary affiliation is possible.
In de statuten van een pensioenfonds worden in ieder geval bepalingen opgenomen betreffende:
het doel van het pensioenfonds, waaronder een omschrijving van de werkingssfeer;
de bestemming van de middelen van het pensioenfonds;
het beheer van het pensioenfonds;
de inkomsten van het pensioenfonds;
de belegging van de gelden;
het bestuursmodel van het pensioenfonds, bedoeld in artikel 99;
de wijze waarop de bestuurders worden benoemd en ontslagen;
de wijze waarop het intern toezicht is georganiseerd;
de wijze waarop de leden van de raad van toezicht dan wel de visitatiecommissie worden benoemd en ontslagen;
de wijze waarop de leden van het verantwoordingsorgaan dan wel het belanghebbendenorgaan worden benoemd en ontslagen;
de wijziging van de statuten;
de liquidatie van het pensioenfonds, waaronder begrepen de verplichtingen van de liquidateuren en de bestemming van de bezittingen van het pensioenfonds; en
de toepassing van artikel 105, derde lid.
De omschrijving van de werkingssfeer, bedoeld in het eerste lid, onderdeel a, vindt ten aanzien van een bedrijfstakpensioenfonds plaats door het omschrijven van de bedrijfsactiviteiten van de bedrijfstak.
Een bedrijfstakpensioenfonds dat aan werkgevers de mogelijkheid biedt om zich vrijwillig aan te sluiten bepaalt in zijn statuten onder welke voorwaarden deze vrijwillige aansluiting mogelijk is.
