The person to whom an enterprise belongs is obliged to provide the information for registration in the trade register, or, if it concerns the registration of a legal person as referred to in Article 6, paragraph 1, parts a and b, paragraph 2 and paragraph 3, each of the directors of the legal person.
If the first paragraph does not apply, the person charged with the day-to-day management of an enterprise or legal person is obliged to provide the information for registration in the commercial register.
If none of the persons referred to in the first paragraph are established in the Netherlands, the person who is charged with the day-to-day management of an enterprise or legal person in the Netherlands shall also be obliged to provide the information.
If an enterprise or legal person is established outside the Netherlands, the person charged with the day-to-day management of the principal place of business or, in the absence thereof, the commercial agent (gevolmachtigde handelsagent) designated by the enterprise or legal person, shall also be obliged to provide the information.
A public law legal person is obliged to provide information for registration in the commercial register.
By general administrative regulation, other persons may be designated who are obliged or authorised to provide the notifications specified therein.
Tot het doen van opgave ter inschrijving in het handelsregister is verplicht degene aan wie een onderneming toebehoort, of, indien het de inschrijving betreft van een rechtspersoon als bedoeld in artikel 6, eerste lid, onderdeel a en b, het tweede lid en derde lid, ieder der bestuurders van de rechtspersoon.
Indien het eerste lid niet van toepassing is, is tot het doen van opgave ter inschrijving in het handelsregister verplicht degene die belast is met de dagelijkse leiding van een onderneming of rechtspersoon.
Indien geen van de in het eerste lid bedoelde personen in Nederland is gevestigd, is tot het doen van de opgave tevens verplicht degene die in Nederland belast is met de dagelijkse leiding van een onderneming of rechtspersoon.
Indien een onderneming of rechtspersoon buiten Nederland is gevestigd, is tot het doen van de opgave tevens verplicht degene die belast is met de dagelijkse leiding van de hoofdnederzetting of, indien die er niet is, de door de onderneming of rechtspersoon aangewezen gevolmachtigde handelsagent.
Tot het doen van opgave ter inschrijving in het handelsregister is een publiekrechtelijke rechtspersoon verplicht.
Bij algemene maatregel van bestuur kunnen andere personen worden aangewezen die verplicht of bevoegd zijn tot het doen van daarbij aangewezen opgaven.
