General Conditions

1. Hodak Legal B.V., having its registered office in Eindhoven, the Netherlands, (hereinafter “Hodak Legal”) is a private limited liability company incorporated under the laws of the Netherlands for the purpose of practicing law.

2. These general terms and conditions shall apply to all assignments from the client unless otherwise agreed in writing prior to the conclusion of an assignment. The applicability of the client’s general purchase conditions or other general terms and conditions is expressly excluded.

3. All assignments shall be accepted and carried out exclusively by Hodak Legal. The applicability of article 7:407 paragraph 2 of the Dutch Civil Code is excluded.

4. Hodak Legal will carry out assignments in accordance with the rules of conduct of the Dutch Bar Association and undertakes, in accordance with these rules, to keep confidential any information obtained from the client in the context of the assignment.

5. If in connection with the work assigned to Hodak Legal, third parties need to be involved, Hodak Legal will consult with the client beforehand. Hodak Legal will not be liable for failures of any kind on the part of such third parties and is entitled to accept, without prior consultation and also on behalf of the client, any limitation of liability on the part of the third parties it engages.

6. Any liability of Hodak Legal shall be limited to the amount paid out in the case in question by the professional liability insurer plus the amount of the excess applicable under the relevant insurance policy. If, for whatever reason, no payment is made under said professional liability insurance, the aforementioned liability shall be limited to €5,000. Information about the professional liability insurance taken out by Hodak Legal (and its coverage) will be provided upon request. The client indemnifies Hodak Legal against any claims from third parties related to the order.

7. The client will owe Hodak Legal a fee (plus VAT) for the performance of the assignment. The fee will be calculated based on the number of hours worked multiplied by the applicable hourly rate. Hodak Legal is entitled to adjust its hourly rate periodically.

8. Objections to the amount of the invoice must be submitted to Hodak Legal in writing, stating reasons, within 30 days of the invoice date, failing which the invoice shall be deemed to have been definitively accepted without protest.

9. Hodak Legal is subject to the Money Laundering and Terrorist Financing (Prevention) Act (Wwft). If an assignment falls within the scope of the Wwft, Hodak Legal will conduct a client due diligence. If an unusual or intended transaction falls within the scope of the Wwft, Hodak Legal is obliged to report this to the Financial Intelligence Unit of the Netherlands. Such reports will not be disclosed to the client.

10. The legal relationship between the client and Hodak Legal shall be governed by Dutch law.

11. The court in Oost-Brabant shall have jurisdiction in the event of a dispute being brought before it, on the understanding that Hodak Legal shall remain authorized to bring disputes before the court that would have jurisdiction if this choice of forum had not been made.

12. All rights of action that the client may invoke against Hodak Legal shall lapse in any case one year after the moment the client became aware or could reasonably have become aware of the existence of such rights.

13. Billings from Hodak Legal will be sent to the client by email or regular mail and payment must be made within 14 days of the invoice date. If this period is exceeded, the client will be in default by operation of law and will owe default interest of 1% per month. Hodak Legal may at any time charge for work performed on an interim basis. Hodak Legal is always entitled to request payment of an advance from the client. If the client fails to pay invoices on time, Hodak Legal is entitled to suspend its services immediately, without being liable for compensation for any resulting damages.
